“Management of Great Oakland Public Schools works with a paid tax preparer to create the 990. A final draft is reviewed by management. Changes are provided to the paid preparer, and the final 990 is approved by an Officer. The final 990 is distributed to members of the Board of Directors.”

“Great Oakland Public School's employees have a duty to promptly disclose any transaction they believe may involve a conflict of interest. When any GO Public School employee becomes aware of a conflict of interest transaction (whether before or after the transaction takes place), each employee is expected to disclose to the Executive Director all material facts regarding the nature of the conflict of interest and the parties involved. When informed of the details of the transactions, the Executive Director determines if a conflict exists and, if so, the remedy to ensure the transaction is reasonable. Employees or board members involved in the potential conflict of interest transaction are excluded from the decision-making process. At any meeting of the Board of Directors at which a transaction involving a board member or a person affiliated with a board member will be considered, said Director will disclose to the other members of the Board all material facts regarding the nature of the transaction or the Director's affiliation with any person or entity with whom the Board is considering entering into any transaction. After a conflict of interest disclosure is made by a Director at a Board meeting, said Director will leave the meeting while the implications of the affiliation are considered and voted upon. The remaining board members will determine whether a conflict of interest exists.”

“The Great Oakland Public School's Board of Directors, excluding any person with a conflict of interest, is responsible for determing the compenstion of the organization's Executive Director. In making its determination, the Board considers compensation information of comparable organizations in terms of size of revenues and scope of responsibilities to ensure compensation is reasonable. Documents and other information that supported the decision-making process are kept with the notes of the compensation meeting. Compensation of GO Public School's other key employees is set by the Executive Director in consultation with the Board of Directors. The Executive Director considers compensation information of comparable organizations to ensure reasonableness. This information is shared with the Board of Directors and is kept with the notes of the meeting(s).”
