Governance Explanations

Form 990, Part VI, Section B, Line 11B

The executive director sends an electronic copy of the 990 to all members of the board. They have 2 days to review to give consent to submit to the irs. The entire board must agree before sending the 990.

Form 990, Part VI, Section B, Line 12C

Annually, board members review the conflict of interest policy in one of their quarterly meeting and each board member is required to disclose potential conflicts of interest during that meeting.

Form 990, Part VI, Section B, Line 15

The executive director has authority to determine the compensations of employees or consultants making under $30,000/year. The ed must consult the board on employees or consultants above this amount or for asking for his or her personal raise. In 2013, the ed and the board created a process by which the ed must present justification for a raise or salary above $30,000/year, as well as a comparative list of similarly paid positions in the field, and an adjustment based on cost of living using one of the various online tools for determining cost of living. No salary for officers. Key employees compensation is determined by the board of the organization by referring to a comparative list of similar paid positions in the field, and an adjustment based on cost of living using one of the various online tools for determining cost of living.

Supplemental Narrative

Additional Explanations

FORM 990, PART XII, LINE 2C:

There have been no changes to the organization's oversight or selection process during the tax year.

Financial Statement Notes

PART X, LINE 2:

The organization recognizes and measures its unrecognized tax benefits in accordance with gaap. Under that guidance the organization assesses the likelihood, based on their technical merit, that tax positions will be sustained upon examination based on the facts, circumstances and information available at the end of each period. The measurement of unrecognized tax benefits is adjusted when new information is available, or when an event occurs that requires a change. Management has determined that there are no uncertain tax positions.
