As reflected in the amended and restated articles of incorporation filed in march 2015, prospect silicon valley ("prospectsv") is organized and operated exclusively for public and charitable purposes within the meaning of section 501(c)(3) of the internal revenue code.a primary purpose of prospectsv is to support and assist the city of san jose, california in operating the clean tech demonstration center at the environmental innovation center and to develop, implement, and support demonstration and commercialization activities for clean tech and other emerging technologies in the city of san jose, california.

To foster innovation and positive social impact through technology demonstration support and community partnership toward sustainable urban systems.

Prospect Silicon Valley was originally formed in 2009 under the name San Jose Biocenter. Its purpose, as described in its Articles of Incorporation, were to foster economic development to create positive social impact in the San Jose, California region, by being the leading provider of specialized operational infrastructure, capital equipment, networking opportunities, and mentoring and education services to emerging science and technology companies, thus promoting a business cluster and accelerating emerging technologies to the public.In 2013, the name of the entity was changed to Prospect Silicon Valley. In 2015, the Articles were amended and restated to provide that the purposes for which the corporation is formed are as follows:1.The specific purposes and powers of the Corporation are as follows:(a)The Corporation is organized and is to be operated exclusively for public and charitable purposes within the meaning of section 501(c)(3) of the United States Internal Revenue Code of 1986 (hereinafter referred to as the Code). All references to the Code contained herein are deemed to include corresponding provisions of any future United States Internal Revenue Law.
