Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The 990 is reviewed by executive director prior to submission. The executive director then reviews 990 with the board finance committee.

Form 990, Page 6, Part VI, Line 12C

The organization diligently reviews the annual disclosure forms submitted by covered persons, and compiles and maintains a list of potentially conflicted entities and individuals. Proposed transactions are then matched against the list as a means of identifying possible conflicts. 1. The person with the potential conflict with respect to a transaction should disclose such potential conflict. 2. The person will not participate or be present at any meeting during which the discussion of the possible conflict of interest takes place. 3. The chair of the board if appropriate will appoint a committee of the board made up of disinterested directors to investigate alternatives to the proposed transaction. 4. If a more advantageous transaction is not reasonably available, the governing board or committee will determine, by a majority vote of the disinterested directors, whether the transaction is in the organizations best interest and is fair and reasonable. The organization will document through well-kept minutes, any decisions related to transactions involving an actual or possible conflict of interest. Finally, the organization will be diligent in taking appropriate disciplinary and corrective action if a person who is covered by the conflict-of-interest policy fails to disclose an actual or possible conflict of interest.

Form 990, Page 6, Part VI, Line 15A

To approve the compensation for the executive director (and other highly compensated employees and consultants) the board must document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: a) a description of the compensation and benefits and the date it was approved; b) the members of the board who were present during the discussion about compensation and benefits, and the results of the vote; c)a description of the comparability data relied upon and how the data was obtained; and d)any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.

Form 990, Page 6, Part VI, Line 19

Governing documents are made available to the public based upon request. An individual can schedule an appointment at the organization's office address during business hours to view any of the organization's governing documents.

Nbef partners with individuals, businesses, and organizations to provide innovative and cutting-edge initiatives for students that are generally not covered by the school budget. Mission "to seek and procure monetary contributions, charitable gifts, and in-kind services to help increase educational opportunities, innovative programs, scholarships, and other resources to benefit new brunswick youth. Goals to foster collaborations with educators, parents, alumni, local businesses, corporations, churches, community organizations, and others to benefit students; to complement the new brunswick public school districts curriculum, programs, projects and activities; to provide mini-grants for teachers to implement creative and innovative learning experiences for students; to develop an alumni network that will make a positive impact on the academic, social, and career development of students; to generate a core identity, cultivate strong partnerships of annual giving, and establish programs, resources and services that will continuously enrich educational and career related opportunities for new brunswick youth. Nbef has evolved immensely over the years. Along with coordinating and facilitating programs and services that are key to the school district's k-12, such as our innovative teacher grants, robotics, and scholarship programs. Nbef takes pride in providing college readiness and career development coaching, mentoring, training and special events. This is administered through nbef's college & young professional network that we launched in 2011 with 11 students and has grown to now having over 800 high school students, college/grad school students and young professionals (all from new brunswick). Through the network we facilitate college readiness workshops to high school juniors and seniors. We assign a nbef coach to college freshmen, mentors for college upperclassmen who provide guidance and consultation, as well as offer career development training for the entire network with such topics as mock interviewing, microaggressions, imposter syndrome, etc. We also administer a mental health platform with empowerment speakers, advocates, and resources; career cluster workshops in stem (engineering & computer science), business & communications, nursing, social work & psychology; pathways to law school seminar and a public speakers institute. We proudly published the nbef college & young professional network opportunity alert which features internships for participates in our network, and highlights the accomplishments by our students and young professionals (i.e., grad school, internships, job placement, etc.). In addition, we host 2 major conference style events each year, our summer event (august) and our prep for success holiday gathering (december). We assemble nbef's college & young professional network to engage in networking, motivational speakers, workshops, career clusters, food, a live dj, and raffle prizes.

Nbefs college & young professional network (c&ypn) is an ongoing support system for new brunswick high school and new brunswick health sciences technology high school graduates attending colleges, universities and vocational institutes. This trailblazing initiative provides them with college readiness and career development coaching, mentoring, training and special events including career clusters in engineering and computer science, business and communications, psychology and social work, and pre- med and nursing. Nbef also offers a pathways to law school program, public speakers institute, and mental health platform. We started the nbef c&ypn in 2011 with 11 students and has grown to over 800 participants. Nbef begins cultivating and nurturing students during their junior and senior year in high school, setting the stage for their transition into college and beyond. Once they are enrolled in college, nbefs c&ypn becomes a link to their future, building their professional portfolio via career development programs, coaching/mentoring, job shadowing, and internship opportunities. A primary aim of the network is to help ensure that our youth remain focused on completing their college education while at the same time planning for a future career. The college and young professional network enables nbef to stay connected with scholarship recipients and track their progress (along with numerous other nbhs and nbhsths graduates pursuing higher education), while providing them with programs and resources that are designed to equip them to compete in our global society. Nbef launched their first prep for success virtual platform in january 2021. It was a major conference style platform with over 300 youth and young adults participating. The platform showcased dynamic workshops, panel discussions, fireside chats and motivational speakers. Additionally, there are two major annual activities summer enrichment and holiday "prep for success" events. These conference style gatherings held in august and late december include networking activities, motivational speakers, and workshops covering key areas such as career exploration, resume and cover letter writing, time/stress management, mock interview skills, elevator pitch, dress for success and dining etiquette tips, college/workplace diversity & inclusion, etc. Attendance has more than tripled in recent years, now attracting over 100 new brunswick youth at each event.

Form 990, Page 2, Part III, Line 4C

Stem / robotics program since 2011, the organization has had a robotics initiative that seeks to inspire new brunswick public school students to better connect with math, science and technology related disciplines as well as ignite their aspirations to pursue careers as scientists, inventors, engineers and even stem related educators. This stem project has provided 6th through 12th grade students with hands-on and inquiry based learning experiences that entails designing, building and programming robotics. The organization has entered the new brunswick middle school robtics team in first lego league(fll)competitions the past three years resulting in high achievements and recognition. Innovative teacher grant program since 2008, nbef has provided over 110,000 for new brunswick public school teachers to implement innovative projects and activities in classrooms and after-school programs. This special collaboration has involved more than 50 educators and has impacted thousands of students ranging from pre- kindergarten through grade 12 in areas such as reading & literacy, performing arts, stem, etc. The process begins with teachers submitting grant proposals that offer novel concepts and strategies which result in dynamic learning experiences for students. There have been over 100 enrichment projects and activities implemented (both inside and outside the classrooms)through the nbef teacher grant program since its inception.
