“Adeso us has been involved in a long-running dispute over amounts owed in relation to the usaid-funded resilience and economic growth in the arid lands - improving resilience (regal-ir) project which was delivered in kenya between 2012 and 2017. There is a balance of funds that adeso us owes, which relates to the recovery of indirect costs advanced by usaid. The balance due arose because of the difference between the provisional and final negotiated indirect cost rates on this $45m multi-year project. Such balances are common due to the inevitable differences between final and provisional indirect cost rates that often take a long time to resolve. In this case, the final indirect cost rates for some of the years in question were not confirmed by usaid until 2020. In addition, the calculations of indirect costs were further complicated because there were simultaneous negotiations taking place over the amount of direct costs that adeso us was entitled to claim in relation to the regal-ir project. Usaid claimed that the amount it was owed in relation to these differences between final and provisional indirect cost rates on the regal-ir project was $1,329,041.56. However, adeso us disputed the calculations carried out by usaid, because the rates used by usaid in their calculation of the debt did not use the final approved rates for some of the years, and also omitted some of the direct costs that were later accepted as properly chargeable to the project. According to adeso us, the amount owed is $57,595.63 based on applying the final indirect cost rates issued by usaid to the final amounts of direct costs that usaid agreed were chargeable to the project. Despite its best efforts, adeso us was unable to resolve these disputes before the debt was passed to us treasury and usaid was closed. Adeso us continues to seek for resolution of the amount owed and to make payment of whatever debts are properly due. However, the us treasury has not responded to repeated attempts by adeso us and its legal representatives to engage in discussions or correspondence to resolve this matter during 2024 and 2025. Given the current lack of engagement by us treasury and the closure of usaid, the final amount and timing of any potential settlement remain uncertain. Given these circumstances, adeso us has recognised the debt it believes is properly due of $57,595.63 in 2024, but no further liability has been recorded at this time. Adeso us will include an update in future filings and continue to take active steps to resolve this matter and settle all its liabilities."”
