“As of November 21, 2024 the By-Laws of the Corporation were amended. The changes did not affect the purpose, programs or mission of the Corporation, but primarily clarified and expanded upon the governance roles of the Corporation. Certain Committees were established including Executive Committee to act on behalf of the Corporation with any actions taken by the Executive Committee presented for confirmation by the Board at its next meeting. In addition, a Nominating Committee was established to solicit suggestions from the Board members and others for nominees to the Board and Officer positions. In addition, the amendment specified that certain other Standing committees may be established by the Board to expedite the business of the Corporation. The Amendment also incorporated substantially the entirety of a separate Conflict of Interest policy affirming the continuation of the requirement for annual disclosure and review by the Board and the ongoing requirement to report promptly to the Corporation any potential conflict of interest as and when it arises.”

“The 990 is prepared and then reviewed by the Treasurer. It is then distributed to the board for review prior to filing.”

“On an annual basis, directors are required to submit a conflict-of-interest form to the Board. The forms are reviewed at a subsequent meeting and a notation is made in the minutes that the forms were reviewed and any potential exceptions examined.”

“During the year, the organization did not have any paid employees. The board recognizes that if employees were to be hired for an officer or key employee position, new procedures and processes to assure compliance with this requirement would be developed.”
