Conflict of interest policy the conflict of interest policy (the "policy") of bread (the "corporation") applies to each director ("director") and officer ("officer") of the corporation and is designed to ensure that the deliberations and decisions of the corporation are made in the interests of the corporation and the community it serves when it is contemplating entering into a transaction, contract, or arrangement (a "transaction") that might benefit the private interest of a director of officer. The policy is administered by the board and provides that a director or officer will be considered an "interested director or "interested officer", as applicable, if such director or officer (i) directly or indirectly, has an ownership, investment, employment or other compensation arrangement in any entity with which the corporation has or is negotiating a transaction valued in excess of $500; (ii) serves as a director or officer of any entity with which the corporation has or is negotiating a transaction, or (iii) otherwise has a relationship (including a family relationship) resulting in, or potentially resulting in, dual conflicting allegiances to the corporation and any entity with which the corporation has or is negotiating a transaction. Under the policy, an interested director or interested officer must disclose to the board the existence and nature of his or her potential conflict of interest prior to the consideration of the proposed transaction. Following such disclosure, the board must determine whether a conflict of interest exists and, until the board has made its determination, the board nor may not vote upon such proposed transaction. If the board concludes that a conflict of interest does exist, reasonable alternatives to the proposed transaction must be investigated and the board must determine whether the corporation can obtain a more advantageous transaction from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction not causing a conflict of interes is not reasonably attainable, the board must determine by a majority vote of the disinterested directors whether the transaction is in the corporation's best interest and fair and reasonable to the corporation. No interested director or interested officer may participate in discussions or negotiations relating to the transaction causing such individual to be considered an interested director or interested officer, as the case may be, and no interested director may vote on any transaction which causes such director to be an interested director.
