Governance Explanations

Form 990, Part VI, Section B, Line 11B

Once the 990 has been prepared by the outside accounting firm, a draft copy of the return will be sent to the board for their approval. The executive team will then confirm and motion to pass it via email, if outside of a formal board meeting.

Form 990, Part VI, Section B, Line 12C

Determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Violations of the conflicts of interest policy: if the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. Each responsible person shall annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include, but are not limited to, service as a director or officer of or consultant to a nonprofit organization, a political campaign or committee, or an informally organized group, or ownership in a business that might provide goods or services to the effective leadership academy.

Camp lead: collaborative work with community partners to enrich summer camp experiences for middle and high school students that combats summer learning loss by helping students freshen their academics while learning important life/work skills. We also engage with community partners to provide essential preparation for summer internship opportunities.

As of january 1, 2023, and for the years ended december 31, 2024 and 2023, the organization has not engaged in any activity which management considers being activity that could result in a loss of its current irs designation.
