The executive committee of the board of directors consists of the chairman, the vice chair, if any, the secretary, the treasurer, and other directors approved by a majority of the board of directors. The executive committee shall have and may exercise all of the powers of the board of directors in the management of the affairs of the corporation between meetings of the board of directors, and subject to the limitations imposed by the florida not-for-profit corporation act.

Form 990, part vi, section b, line 11b:the form 990 is initally reviewed by the executive director and treasurer, then any necessary corrections are made. The form 990 is then sent to all board members for final review and approval prior to filing.

Conflict of interest policy compliance Part VI line 12C

Form 990, part vi, section b, line 12c:annually, each director, officer and member of a sub-committee with governing board delegated powers shall sign a statement with affirms such person, (a) has recieved a copy of the conflicts of interest policy, (b) has read and understands the policy, (c) agrees to comply with the policy, and (d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Further, in connection with any actual or possible conflict of interest and be given the opportuinity to disclose all material facts to the directors and members considering the proposed transaction or arrangement. Lastly, on a periodic basis a review is performed to ensure the written policies are being followed and that the organization is operating in a manner consistent with its charitable purposes and that it does not engage in any activity that could jeopardize its tax-exempt status.

Footnote for uncertain tax position under FIN 48 (Part X)

The Organization is exempt from federal income taxes under Section 501(c)3 of the Internal Revenue Code, except to the extent of unrelated business taxable income. For fiscal year September 30, 2019, a provision for unrelated business income taxes was not required. Management believes that they have the appropriate support for any tax positions taken, and as such, do not have any uncertain tax positions that are material to the financial statements. Interest and penalties attributable to income taxes, if any, are included in operating expenses. No such interest and penalties were recorded in the fiscal year ending September 30, 2019.
