Governance Explanations

Form 990, Part VI, Section B, Line 11B

Draft copies of the form 990 and supporting schedules are submitted to the finance and audit committee members for their review and comments. Upon completion of the review by the finance and audit committee, feedback is provided to the finance department. If required, changes are made. Once that process is completed, copies of the form 990 and supporting schedules are submitted to the full board for review and final approval prior to filing.

Form 990, Part VI, Section B, Line 12C

The staff, contractual employees, officers and board members are required to sign the conflict of interest statement upon starting service or upon contracting with nonprofits first. The board of directors re-signs the conflict of interest policy each year. If any member of the board of directors is deemed to have a conflict of interest, that individual will be prohibited from participation in the board's deliberations and decisions regarding any transactions related to that conflict.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and applicable state law. Accordingly, no provisions for such taxes have been recognized in the financial statements. The financial accounting standards board issued guidance that requires tax effects from uncertain tax positions to be recognized in the financial statements only if the position is more likely than not to be sustained if the position were to be challenged by a taxing authority. Management has determined there are no material uncertain positions that require recognition in the financial statements. Additionally, no provisions for income taxes is reflected and there is no interest or penalties recognized in the statement of activities or statement of financial position. The organization's tax years subject to examination by tax authorities generally remain open for three (3) years from the date of filing.

IN ADDITION, 82 NONPROFIT PROFESSIONALS TOOK ADVANTAGE OF 330 VIRTUAL LEARNING COURSES OFFERED THROUGH NONPROFITS FIRST. THE 2022 CLASS EQUIPPED 12 LEADERS WITH THE SKILLS NEEDED FOR THE HIGHEST LEVELS OF NONPROFIT EMPLOYMENT IN OUR COMMUNITY.NONPROFITS FIRST RESUMED "101 FOR THE 501" IN 2022, A 3-FULL DAY PROGRAM OFFERING 6 CORE NONPROFIT MANAGEMENT WORKSHOPS TO LEADERS OF EMERGING NONPROFIT ORGANIZATIONS. THE VALUE OF THIS PROGRAM HAS BEEN OBSERVED THROUGH THE GROWTH OF MANY PARTICIPATING ORGANIZATIONS THAT HAVE IMPROVED PERFORMANCE AND INCREASED THEIR ABILITY TO SERVE THE COMMUNITY.
