Governance Explanations

Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

Global Citizen Year, Inc. amended bylaws on August 31, 2017. The major changes are as follows. Removed Board approval requirement for highest paid independent contractor and clarified that Board only needs to approve contracts that fall "outside of the normal course of business," and not all contracts. The Board Chair must sign legal documents such as promissory notes and deeds. A Compensation Committee has been added to review the staff, CEO, COO and other highly compensated employees compensation levels.Public disclosure of documents remain same as originally provided.

Form 990, Part VI, Line 11B: Form 990 Review Process

An outside accounting firm prepares the tax returns. After completion of said returns, the organization is sent a draft of the tax returns to be reviewed and examined by the director of finance and the finance committee. The organization distributes copies of the completed returns to the board of directors. If all items are found to be acceptable, an authorization is signed and provided to the outside accounting firm to process, sign and provide copies of the returns to be filed (paper or electronically) with the designated governmental agencies. The tax returns are then signed by the organization, stamped with certified return receipt and timely placed in the mail for filing, or the form 8879 is provided to the outside accounting firm allowing electronic filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

All officers and directors are required to sign a conflict of interest policy each year.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The board compensation committee confers annually on the compensation of top management and determines pay based on the organization's standing, the compensation levels at comparable organizations, and the employees' performance.

Form 990, Part VI, Line 18: Explanation of Other Means Forms Available For Public Inspection

Federal Tax Returns are available at guidestar.org.

Form 990, Part VI, Line 19: Other Organization Documents Publicly Available

Governing documents are available for public inspection at the principal place of business. The conflict of interest policy and the organization's financial statements are available upon request.

IRS990/Desc0THE PAST YEAR HAS BEEN AN EXCITING TIME OF GROWTH AND PROGRESS, AND WERE THRILLED TO SHARE THE FOLLOWING HIGHLIGHTS: (1) FOR THE SECOND CONSECUTIVE YEAR, WE DROVE UNPRECEDENTED DEMAND FOR THE GLOBAL CITIZEN YEAR FELLOWSHIP. THE 110 FELLOWS IN OUR 2016-17 COHORT COMPOSED THE LARGEST CLASS IN GLOBAL CITIZEN YEARS HISTORY, 25% GREATER THAN THE PRIOR YEAR AND TENFOLD GROWTH OVER THE INAUGURAL GROUP IN 2010. THESE FELLOWS EXPERIENCED TRANSFORMATIVE YEARS IN BRAZIL, ECUADOR, INDIA, AND SENEGAL, AND DEVELOPED GLOBAL PERSPECTIVE, PASSION, AND PURPOSE THAT HAVE LAUNCHED THEIR JOURNEY AS LEADERS AND GLOBAL CITIZENS. MEANWHILE, OUR CONTINUED INVESTMENTS IN ON-THE-GROUND RECRUITMENT AND DIGITAL ENGAGEMENT HELPED US RECRUIT THE LARGEST, MOST RACIALLY DIVERSE COHORT IN GLOBAL CITIZEN YEAR HISTORY. OUR 2017-18 COHORT OF 135 FELLOWS REPRESENTS A SECOND CONSECUTIVE YEAR OF ~25% GROWTH AND WAS CAREFULLY SELECTED FROM A POOL OF MORE THAN 500 APPLICANTS (54% GROWTH). (2) WE REFINED OUR BEST-IN-CLASS PROGRAM TO PROVIDE AN EVEN STRONGER FELLOW EXPERIENCE. OUR CORE FELLOWSHIP IS DRIVING STRONG RESULTS AND OUR 570 ALUMNI ARE THRIVING IN COLLEGE AND EARLY CAREERS. NINETY-FIVE PERCENT OF ALL ALUMNI AND 91 PERCENT OF ALUMNI FROM LOW-INCOME BACKGROUNDS ARE PERSISTING IN OR HAVE GRADUATED FROM COLLEGE, 95 PERCENT SAY THAT GLOBAL CITIZEN YEAR WAS THE BEST PREPARATION THEY COULD HAVE HAD FOR COLLEGE, AND 91 PERCENT RETURN PROFICIENT IN A FOREIGN LANGUAGE. (3) WE ARE FORGING INNOVATIVE PARTNERSHIPS WITH COLLEGES, HIGH SCHOOLS, AND COLLEGE ACCESS PROGRAMS TO BETTER INTEGRATE THE BRIDGE YEAR INTO STUDENTS EDUCATIONAL TRAJECTORIES. WE LAUNCHED A HIGH SCHOOL LEADERSHIP COUNCIL COMPOSED OF HEADS OF SCHOOL AND SUPERINTENDENTS WHO ARE COMMITTED TO MAKING THE BRIDGE YEAR A NEW RITE OF PASSAGE IN THEIR SCHOOLS, COMMUNITIES, AND AMERICAN SOCIETY MORE BROADLY. WE EXPANDED OUR PARTNERSHIP WITH TUFTS UNIVERSITY VIA ITS 1+4 BRIDGE YEAR PROGRAM AND DEVELOPED A NEW ADMISSIONS PARTNERSHIP WITH LAFAYETTE COLLEGE, AND WE WILL CONTINUE TO EXPERIMENT WITH INNOVATIVE PARTNERSHIP MODELS IN THE YEAR AHEAD. (4) WE DROVE A NATIONAL CONVERSATION ON THE NEED TO BUILD A NEW LEADERSHIP PIPELINE THAT REFLECTS OUR NATIONS DIVERSITY. IN 2016-17, GLOBAL CITIZEN YEAR AND FOUNDER/CEO ABBY FALIK WERE SELECTED TO SPEAK AT THE NANTUCKET PROJECT, SXSWEDU, AND THE CLASSY COLLABORATIVE, AMONG OTHER FORUMS. ABBYS WRITING HAS BEEN FEATURED ON THE DEVELOPMENT SET, BRIGHT READS, AND LINKEDIN PULSE, AND ON REID HOFFMANS MASTERS OF SCALE, THE NUMBER ONE BUSINESS PODCAST OF 2017.
