Form 990, Part VI, Section B, line 12C

The conflict of interest policy is distributed annually to all directors and officers. Each director and officer must sign a statement that affirms that he or she has received a copy of the policy; has read and understood the policy and agrees to comply with the policy. The directors and officers are required to file annually a statement with the Board of Directors which discloses interests which could give rise to conflicts.

Form 990, Part VI, Section B, line 15A

The following processes were used to establish compensation for the position of executive director during the current year: - The Board of Directors annually sets performance objectives as well as reviews the performance of the previous year. The Board then determines what, if any, salary adjustments should be made based on individual and organizational performance. - A comparable compensation survey was performed prior to hire. Twice per year, the Board reviews compensation within the non-profit and for-profit sectors to ensure that the ACE position is within a reasonable range of regional norms. - The salary adjustments are discussed and approved by the Board. The approvals are listed in the respective Board minutes. All other key employee compnesation is determined by the executive director using many of the procedures outlined above and is approved by the board of directors as part of the budget approval process.

The organization's staff is contracted with Insperity PEO Services, Inc. which is a Professional Employer Organization (PEO) and therefore all W-2s are issued by Insperity PEO Services, Inc.. There were a total of 22 W-2s issued on behalf of hte Organization by Insperity PEO Services, Inc. The organization had control over the selection and termination of the employees and has therefore reported those filings in this return as well. The total amount paid to Insperity PEO Services, Inc. was $1,270,497 of which $1,033,265 was paid directly to the Organiation's employees through Insperity PEO Services, Inc.

The live ACE Assembly presents the latest science on climate change causes, consequences and solutions. We deliver the most current research through a unique blend of interactive video, custom animation, music, storytelling, and text messaging. The science content of the assembly reinforces state science standards and maps to Next Generation Science Standards. A recent publication in the academic journal Climatic Change by our expert partners at Yale, George Mason, and Stanford Universities showed that after the ACE Assembly, climate science knowledge increased by 27% and the number of students talking to their parents about the issue more than doubled. The ACE Assembly also offers a powerful bridge for teachers to bring climate science into the classroom. Through online resources and a monthly digital newsletter, we support thousands of teachers to master climate principles aligned with state science standards, Next Generation Science Standards and STEM subjects. Our online offerings include pre and post assembly lesson plans and curriculum resources. ACE has become the go-to source for teachers, school districts and partners to get the latest climate education news and tools.

For some students, this is a small lifestyle change like pledging a ""DOT", a commitment to Do One Thing to protect the climate like recycling or turning off lights. When students pledge a DOT via text message, they enter the ACE online network where they can learn more about climate science, get tips for educating others, and find resources for leading Action Teams at their school. We also provide hands-on preparation for deeper work at the community and policy levels through our year-long Action Fellowship. The fellowship gives students knowledge, skills, and confidence to be lifelong climate leaders, and the opportunity to take action on a local climate solution with partners.

In 2014, we invested in strengthening our core programs, and deepening regional and national partnerships in order to achieve greater collective impact. We also renewed our commitment to listen to our students. Very few organizations provide opportunities for youth to inform strategy and program decisions. In order for ACE to stay relevant to youth, particularly youth of color, we have to invest in understanding their needs, and evolving our programs to remain cutting edge. We also know that it is critical that we invest in our board of directors to provide strong governance and fundraising support. In 2015, we will continue to increase the racial and gender diversity of the board, and provide professional development workshops to build knowledge and commitment from its members.

The Organization maintains a qualifying program for solicitation of funds and the Organization is of the nature of an organization which is publicly supported.First, the Organization normally receives a substantial part of its support from contributions made directly or indirectly by the general public. The percentage of support normally received by the Organization from contributions made directly or indirectly by the general public is at least 10 percent of the total support normally received by the Organization. For return year 2014, the public support percentage is 21.17% which is substantially up from prior year of 15.59%. In years 2012 through 2014, the Organization attracted public support totaling approximately $357,000 from various individuals, $1,120,000 from foundations and corporations, and $112,000 from partners and schools. [Regulation 1.170A-9(f)(3)(i)] Second, the Organization maintains a continuous and bona-fide program for solicitation of funds from the general public or community. Since the Organization is in its early years of existence, it has limited the scope of its solicitation to persons or organizations deemed most likely to provide seed money in an amount sufficient to enable it to commence its charitable activities and expand its solicitation program. The Organization employs three staff members who are dedicated to fundraising: a Development Director, a Grants Manager, and a Development Manager. [Regulation 1.170A-9(f)(3)(ii)]Additionally, the following facts and circumstances are pertinent to the Organization: - The Organization is in the nature of a conservation organization which provides educational services to the public through the presentation of its climate change educational materials. [See regulation 1.170A-9(f)(3)(D)(1)]. From inception, approximately 1.8 million high school students have viewed the Organization's climate change education program at their schools.

The Board then determines what, if any, salary adjustments should be made based on individual and organizational performance. - A comparable compensation survey was performed prior to hire. Twice per year, the Board reviews compensation within the non-profit and for-profit sectors to ensure that the ACE position is within a reasonable range of regional norms. - The salary adjustments are discussed and approved by the Board. The approvals are listed in the respective Board minutes. All other key employee compnesation is determined by the executive director using many of the procedures outlined above and is approved by the board of directors as part of the budget approval process.
