Governance Explanations

Form 990, Part VI, Section A, Line 6

There are two classes of members: founding members who are the original founders of the cieci, and regular members who join subsequent to its founding. The initiative is governed by a steering committee comprised of the chief executive officers of the thirteen founding companies. The chairmanship of the steering committee is rotated at least every two years or earlier in the discretion of the steering committee. The committee determines its future composition, prescribes its own agendas and internal procedures, and meets at its pleasure. The committee has full authority to replace or add steering committee members and to rotate membership drawn from both founding members and regular members. The working group is comprised of one representative of each steering committee member. The working group shall elect a chairman and a treasurer of the cieci. The working group shall select a coordinator and shall prescribe the coordinator's duties and responsibilities to coordinate the programs and activities. The working group shall meet frequently with the coordinator by telephone or in person to assure the purpose and objectives of the initiative are being met. The coordinator shall function as the executive director of the initiative under the direct supervision of the working group. The coordinator shall be the only compensated position in the initiative. Additionally, the coordinator shall manage the financial affairs of the initiative, with oversight by the treasurer, who is a member of the working group.

Form 990, Part VI, Section A, Line 7A

The cieci is open to business organizations which comprise the u.s. Construction industry, which includes design/engineering firms, general contractors and subcontractors. Firms interested in membership are required to provide a letter to the coordinator, signed by the chief executive officer, expressing a commitment to the application or renewal, but does reserve the right to refuse or suspend membership for good cause. Such refusal or suspension shall be based on the recommendation of the coordinator and a majority vote of the cieci working group.

Each founding member shall be entitled to one vote on each matter submitted by the steering committee to a vote of the founding members. General members shall have no voting rights. The steering committee sets the policies for the construction industry ethics and compliance initiative, upon recommendation of the working group.

Financial Statement Notes

PART X, LINE 2:

Cieci has received a determination letter dated july 8, 2010 from the internal revenue service (irs) stating that the organization is qualified and is tax exempt under section 501(c)(6) of the internal revenue code (irc). Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the irs. Cieci management believes that the organization is designed and is currently being operated in compliance with the applicable provisions of the irc. The income tax returns of cieci are subject to examination by the taxing authorities, generally for three years after they were filed; however, there are currently no examinations open for any of these years.

ACCOUNTING PRINCIPLES GENERALLY ACCEPTED IN THE UNITED STATES OF AMERICA REQUIRE MANAGEMENT TO EVALUATE TAX POSITIONS TAKEN BY THE ORGANIZATION AND RECOGNIZE A TAX LIABILITY IF THE ORGANIZATION HAS TAKEN AN UNCERTAIN POSITION THAT MORE LIKELY THAN NOT WOULD NOT BE SUSTAINED UPON EXAMINATION BY THE IRS. CIECI MANAGEMENT BELIEVES THAT THE ORGANIZATION IS DESIGNED AND IS CURRENTLY BEING OPERATED IN COMPLIANCE WITH THE APPLICABLE PROVISIONS OF THE IRC. THE INITIATIVE IS GOVERNED BY A STEERING COMMITTEE COMPRISED OF THE CHIEF EXECUTIVE OFFICERS OF THE THIRTEEN FOUNDING COMPANIES. THE CHAIRMANSHIP OF THE STEERING COMMITTEE IS ROTATED AT LEAST EVERY TWO YEARS OR EARLIER IN THE DISCRETION OF THE STEERING COMMITTEE. THE COMMITTEE DETERMINES ITS FUTURE COMPOSITION, PRESCRIBES ITS OWN AGENDAS AND INTERNAL PROCEDURES, AND MEETS AT ITS PLEASURE. THE COMMITTEE HAS FULL AUTHORITY TO REPLACE OR ADD STEERING COMMITTEE MEMBERS AND TO ROTATE MEMBERSHIP DRAWN FROM BOTH FOUNDING MEMBERS AND REGULAR MEMBERS. THE WORKING GROUP IS COMPRISED OF ONE REPRESENTATIVE OF EACH STEERING COMMITTEE MEMBER. THE WORKING GROUP SHALL ELECT A CHAIRMAN AND A TREASURER OF THE CIECI. THE WORKING GROUP SHALL SELECT A COORDINATOR AND SHALL PRESCRIBE THE COORDINATOR'S DUTIES AND RESPONSIBILITIES TO COORDINATE THE PROGRAMS AND ACTIVITIES. THE WORKING GROUP SHALL MEET FREQUENTLY WITH THE COORDINATOR BY TELEPHONE OR IN PERSON TO ASSURE THE PURPOSE AND OBJECTIVES OF THE INITIATIVE ARE BEING MET.
