Governance Explanations

Form 990, Part VI, Section A, Line 2

Three of the nonindependent trustees were employees of a corporate entity during part of 2014. The corporate entity is owned by two of the nonindependent trustees.

Form 990, Part VI, Section A, Line 3

The organization outsourced some of its program services, management function, and fund raising activities to a management company during part of 2014. Fees paid to the management company is reported on part vii, section b.

Form 990, Part VI, Section A, Line 6

The organization was organized as a not-for-profit corporation. The organization is governed by a board of trustees. The board has six trustees, of which three are independent trustees. In the event the organization is dissolved, the governing members are not eligible to receive the organization's net assets; instead, the net assets of the organization shall be distributed to charitable or public purposes as provided in the articles of incorporation.

Form 990, Part VI, Section A, Line 7A

Trustees are elected annually by a majority vote of all members of the board of trustees serving at the time.

Form 990, Part VI, Section B, Line 11

A copy of the annual tax return (form 990) is distributed to and reviewed by all six trustees. The tax return is filed only after all comments and questions from all six trustees have been addressed and resolved with the organization's outside certified public accountant.

Form 990, Part VI, Section B, Line 12C

The board of trustees monitors and enforces compliance with conflict of interest policy at its regular meetings. All financial transactions involving the nonindependent trustees must be reviewed and approved by the independent trustees.

Form 990, Part VI, Section B, Line 15

Compensation to officers and key employees is determined by comparable compensation in other not-for-profit organizations and is reviewed and approved by the independent board of trustees.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and audited financial statements are available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Fasb asc 740-10-25, accounting for uncertainty in income taxes, requires the organization to recognize the financial statement effects of a tax position when it is more likely than not, based on the technical merits, that the position would not be sustained upon examination by the taxing authority. The organization continually evaluates sources of authorities in the tax law and their applicability to the facts and circumstances of the tax position. The organization's evaluation as of december 31, 2014 revealed no uncertain tax positions that would have a material impact on the financial statements. Generally, the tax returns remain open for three years for examination. Accordingly, tax years prior to 2011 have been closed for examination by taxing authorities.
