Governance Explanations

Form 990, Part VI, Section A, Line 2

During 2018, two of the three nonindependent trustees were co-owners of various businesses.

Form 990, Part VI, Section A, Line 6

The organization was organized as a not-for-profit corporation. The organization is governed by a board of trustees. The board has six trustees, of which three are independent trustees. In the event the organization is dissolved, the governing members are not eligible to receive the organization's net assets; instead, the net assets of the organization shall be distributed to charitable or public purposes as provided in the articles of incorporation.

Form 990, Part VI, Section A, Line 7A

Trustees are elected annually by a majority vote of all members of the board of trustees serving at the time.

Form 990, Part VI, Section B, Line 11B

A copy of the annual tax return (form 990) is distributed to and reviewed by all six trustees. The tax return is filed only after all comments and questions from all six trustees have been addressed and resolved with the organization's outside certified public accountant.

Form 990, Part VI, Section B, Line 12C

The board of trustees monitors and enforces compliance with conflict of interest policy at its regular meetings. All financial transactions involving the nonindependent trustees must be reviewed and approved by the independent trustees.

Form 990, Part VI, Section B, Line 15

Compensation to officers and key employees is determined by comparable compensation in other not-for-profit organizations and is reviewed and approved by the independent board of trustees.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and audited financial statements are available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

Fasb asc 740-10-25, accounting for uncertainty in income taxes, requires the organization to recognize the financial statement effects of a tax position when it is more likely than not, based on the technical merits, that the position would not be sustained upon examination by the taxing authority. The organization continually evaluates sources of authorities in the tax law and their applicability to the facts and circumstances of the tax position. The organization's evaluation as of december 31, 2018 revealed no uncertain tax positions that would have a material impact on the financial statements. Generally, the tax returns remain open for three years for examination. Accordingly, tax years prior to 2015 have been closed for examination by taxing authorities.

IRS990ScheduleI/SupplementalInformationDetail/ExplanationTxt0THE PROCEDURES FOR AWARDING SCHOLARSHIPS AND TUITION GRANTS ARE INITIATED BY NOTIFYING THE NONPUBLIC PRE-KINDERGARTEN, PRIMARY, AND SECONDARY SCHOOLS OF THE AVAILABILITY OF THE SCHOLARSHIP AMOUNT TO BE PROVIDED BY THE ORGANIZATION. SCHOLARSHIP AWARDS ARE BASED UPON THE CRITERIA ESTABLISHED BY THE PARTICIPATING SCHOOLS. THE PARENTS MUST COMPLETE AND SUBMIT A SCHOLARSHIP APPLICATION TO THE SCHOOL FOR EACH ELIGIBLE STUDENT. THE APPLICATION MUST HAVE THE PARENT'S AND STUDENT'S NAMES, THEIR ADDRESS, STUDENT'S DATE OF BIRTH, TELEPHONE NUMBER, AND STUDENT'S COMPLIANCE OF ELIGIBILITY UNDER GEORGIA LAW. THE APPLICATION MUST LIST THE PARENT'S PRIOR YEAR GEORGIA-ADJUSTED-GROSS INCOME AND NUMBER OF DEPENDENTS TO ASSIST THE SCHOOL IN CONSIDERING FINANCIAL NEEDS OF THE STUDENT. THE APPLICATION MUST BE SIGNED AND DATED BY THE PARENT AS WELL AS THE SCHOOL OFFICIAL. ONCE THE SCHOLARSHIP IS APPROVED BY THE SCHOOL, THE APPLICATION IS SUBMITTED TO THE ORGANIZATION FOR REVIEWING AND PROCESSING. CHECKS ARE MADE OUT TO THE PARENTS AND THE SCHOOL. THE PARENTS MUST ENDORSE THE CHECK ON CAMPUS FOR THE BENEFIT OF THEIR CHILD'S TUITIONS AT THE SCHOOL THE CHILD ATTENDS. THE ORGANIZATION ALSO MAINTAINS SEPARATE BANK ACCOUNTS FOR SCHOLARSHIPS AND OPERATING FUNDS.
