The arts partnership is a strategic alliance of four performing arts organizations that ensures equitable sharing and effective care of the ordway center as a vital cultural asset in the twin cities.

“The members are called THE ARTS PARTNERS and include THE ORDWAY CENTER FOR THE PERFORMING ARTS, THE SAINT PAUL CHAMBER ORCHESTRA SOCIETY (SPCO), THE MINNESOTA OPERA, AND THE SCHUBERT CLUB.”
“The Arts Partners, known as the Ordway Center for the Performing Arts, The Saint Paul Chamber Orchestra Society (SPCO), The Minnesota Opera, and The Schubert Club have the power to elect or appoint directors. The Opera, the SPCO and the Schubert Club shall each appoint two Directors, and OCPA shall appoint three Directors. The business and affairs of the Corporation shall be managed by or under the direction of the Board of Directors, who shall have charge, control and management of the property, affairs and funds of the Corporation, and who shall have the power and authority to do and perform all acts and functions. The policy making powers of the Corporation shall be vested in the Board of Directors. The Officers of the Corporation shall be a President, a Treasurer and a Secretary, who shall be elected from among the Directors. An Officer other than the President may be removed at any time, with or without cause, by a resolution approved by the Board of Directors.”

The report is approved by the Board of Directors at the next meeting or via electronic vote prior to the required filing date. All questions or comments received from outside counsel and Board members are addressed prior to filing the report with the IRS.”
“The Arts Partnership has a written conflict of interest policy that applies to all board members and officers. The policy requires individuals to disclose any potential conflicts of interest, which are then reviewed by the President and supporting organizations CEO's, who determine whether the conflict is actual or perceived. If a conflict exists, the affected individual will recuse themselves from deliberations and voting on the related transaction. The organization regularly monitors compliance with the policy through the President's office.”

“The Endowment will provide rental subsidies to the four supported organizations of The Arts Partnership for the use of the Ordway facility. These organizations include the Saint Paul Chamber Orchestra, the Minnesota Opera, the Schubert Club, and the Ordway Center for the Performing Arts.”
“The Arts Partnership is exempt from income taxes under Section 501(a) of the U.S. Internal Revenue Code and Section 290.05 of the Minnesota Statutes as it is an organization described under Section 501(c)(3). The Arts Partnership did not have any unrelated business income for the years ended June 30, 2024 or 2023. The Arts Partnership's accounting policy provides that a tax expense or benefit from an uncertain tax position may be recognized when it is more-likely than not that the position will be sustained upon examination, including resolutions of any related appeals or litigation processes, based on the technical merits. The Arts Partnership has no uncertain tax positions as of June 30, 2024 or 2023 resulting in an accrual of tax expense or benefit.”
