The form 990 was prepared by the outside accountants and reviewed by senior management. The completed form 990 was circulated to the governing body for review, before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

All directors and officers are required to annually sign a statement affirming that they have received the conflict of interest policy, have read and understand it, and agree to comply with it. If the committee has reasonable cause to believe that an interested person has failed to disclose an actual or possible interest, it informs the interested person of the basis for such belief and affords the interested person an opportunity to explain the alleged failure to disclose. If, after hearing the response of the interested person and making such further investigation as may be warranted in the circumstances, the committee determines that the interested person has in fact failed to disclose an actual or possible interest, it takes appropriate disciplinary and corrective action which may include: a) reconsideration of whether the transaction or arrangement was in the best interests of and was fair and reasonable to the corporation at the time it was undertaken; b) recommending the interested person's removal from the board; and c) any other action.

The salaries of officers, if any, will be fixed from time to time by resolution of the board of directors. Salaried individuals cannot vote on their own compenstion. All compensation decisions will be made by a majority vote of disinterested board members. In all cases, any salaries received by officers of the organization will be reasonable and given in return for services actually rendered to or for the organization. A salary survey is used in the ceo's compensation process and the process is documented in the board minutes. The last compensation review took place in march 2015.

Form 990, Schedule D, Part XIII

In furtherance of the digital green foundation's (dgf) mission, it has established an affiliation with digital green trust (dgt), a non-governmental organization created under the laws of india to purse its mission and with autonomy and adherence to a common set of polices, rules and procedures in the form of an affiliation agreement to ensure maximum impact of the collective operations of dgf and its affiliates. Dgf has made a number of sole source grants to dgt, in furtherance of the charitable purpose of dgt, which are consistent with the charitable purpose of dgf.

Financial Statement Notes

PART X, LINE 2:

For the tax periods ended march 31, 2015, management of the foundation and the trust have documented their consideration of fasb asc 740-10, income taxes, that provides guidance for reporting uncertainty in income taxes and they have determined that no material uncertain tax positions with respect to either entity qualify for either recognition or disclosure in the combined financial statements.

DGF HAS RECENTLY UNDERTAKEN SIGNIFICANT EFFORTS TO ATTRACT NEW AND ADDITIONAL PUBLIC SUPPORT. RECOGNIZING THE VALUE OF DGF'S WORK TO THE COMMUNITY, US AND BRITISH FEDERAL GOVERNMENTS, UNIVERSITIES, PRIVATE FOUNDATIONS, HNIS AND THE PRIVATE SECTOR HAVE PROVIDED DGF WITH SUPPORT IN RECENT MONTHS NOT ONLY TO HELP THE ORGANIZATION CONTINUE ITS WORK BUT ALSO TO BEGIN A NEW DEVELOPMENT EFFORT TO BROADEN DGF'S BASE OF SUPPORT. DGF'S CURRENT FUNDRAISING PLANS ARE TARGETED AT A BROAD BASE OF DONORS. IN THIS RESPECT, DGF MEETS THE REQUIREMENT OF 1.170A-9(F)(3)(III)(B). IN FURTHERANCE OF THE DIGITAL GREEN FOUNDATION'S (DGF) MISSION, IT HAS ESTABLISHED AN AFFILIATION WITH DIGITAL GREEN TRUST (DGT), A NON-GOVERNMENTAL ORGANIZATION CREATED UNDER THE LAWS OF INDIA TO PURSE ITS MISSION AND WITH AUTONOMY AND ADHERENCE TO A COMMON SET OF POLICES, RULES AND PROCEDURES IN THE FORM OF AN AFFILIATION AGREEMENT TO ENSURE MAXIMUM IMPACT OF THE COLLECTIVE OPERATIONS OF DGF AND ITS AFFILIATES. DGF HAS MADE A NUMBER OF SOLE SOURCE GRANTS TO DGT, IN FURTHERANCE OF THE CHARITABLE PURPOSE OF DGT, WHICH ARE CONSISTENT WITH THE CHARITABLE PURPOSE OF DGF.
