A copy of the draft form 990 was circulated to select members of the management team, the finance committee of the board and then sent electronically to the board. Each board member was provided an opportunity to comment on the information contained in the 990 prior to its filing with the internal revenue service.”

Each individual is required to annually disclose any conflicts of interest that arise by virtue of employment, board service, or position with the organization. The organization monitors compliance with its conflict of interest policy through an annual questionnaire/disclosure statement that is distributed to these individuals. Potential conflicts are investigated as required.”

“The covid-19 pandemic, whose effects in the united states first became known in january 2020, has and continues to have a broad and negative impact on commerce and financial markets around the world. The extent of the impact of the pandemic on tfall's operational and financial performance will depend on various developments, including the duration and spread of the outbreak and its impact on its donors, grantees, employees, and vendors, all of which at present, cannot be determined. During the year ended september 30, 2020, tfall was granted a loan totaling $1,701,663 pursuant to the small business administration paycheck program under division a, title 1 of the cares act (the "ppp loan"). The paycheck protection program is a loan designed to provide a direct incentive for small businesses to keep their workers on payroll. The ppp loan was set to mature on april 23, 2022. Tfall used the entire ppp loan for qualifying expenses during fiscal 2020 and the entire loan balance was forgiven by both the lender bank and the small business administration during fiscal 2021, and the related revenue is reflected as ppp loan on the accompanying consolidated statement of activities for the year ended september 30, 2021. During the year ended september 30, 2021, tfall was granted another ppp loan totaling $1,570,817 (the "second ppp loan"). The second ppp loan, which was in the form of a note dated february 4, 2021, matures on february 10, 2026. Tfall used the entire second ppp loan for qualifying expenses during fiscal 2021. The forgiven ppp loan is reported as governmental grant revenue in part viii, line 1(e).”
