“Teach For All amended its bylaws in the current year to bring the organization in compliance with the New York State Non-Profit Revitalization Act. The organization made the following significant changes to its bylaws: 1. Instituted provision asserting that only independent individuals can serve as the Board Chairman. 2. Increased the minimum number of committee members 3. Permitting the creation of advisory bodies to advise the Board or the organization 4. Other clarifications to definitional items in the bylaws. Form 990, Part VI, Line 11 The Form 990 was prepared by an Independent accounting firm in conjunction with the organization's financial department. A copy of the draft Form 990 was circulated to select members of the management team, the finance committee of the board and then sent electronically to the Board. Each Board Member was provided an opportunity to comment on the information contained in the 990 prior to its filing with the Internal Revenue Service.”

“Teach for All has a conflicts of interest policy which it requires all directors and key employees to sign currently. Each individual is required to annually disclose any conflicts of interest that arise by virtue of employment, board service, or position with the organization. The organization monitors compliance with its conflict of interest policy through an annual questionnaire/disclosre statement that is distributed to these individuals. Potential conflicts are investigated as required.”

“TEACH FOR ALL ESTABLISHED SENIOR COMPENSATION AFTER CONSULTING WITH AN OUTSIDE, THIRD-PARTY, COMPENSATION SPECIALIST. THE COMPENSATION CONSULTANT USED EXTERNAL BENCHMARKS FROM OTHER INTERNATIONAL NON-PROFITS TO SET THE COMPENSATION METRICS FOR ALL ROLES ON THE SENIOR TEAM REPORTING UP TO THE CEO AND COO (INCLUDING THE COO and the CEO). TEACH FOR ALL SPECIFICALLY REVIEWED DATA AT THE 75TH PERCENTILE OF LIKE-SIZED ORGANIZATIONS TO ENSURE THAT POSITIONS ALREADY FILLED (AND POSITIONS TO BE FILLING GOING FORWARD) ARE IN A COMPARABLE COMPENSATION RANGE. TEACH FOR ALL, TEACH FOR AMERICA AND TEACH FIRST ALLOCATE SALARY BASED ON THE PERCENTAGE OF HOURS THE STAFF WILL PROVIDE TO EACH ORGANIZATION BASED ON THE RESOURCE SHARING AGREEMENT”

“The taxpayer makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy are made available to the public by request. Part VII - Compensation of Officers & Directors Secretary, Noorain Khan, reported no compensation on Part VII of the Form 990 since she commenced services with Teach for All in 2014 and compensation is reported as of calendar year 2013.”

“The organization's governing body has a committee charged with oversight of the audit of the organization's financial statements. The committee's process for oversight of the audit, performed by an independent accounting firm, has not changed for the reporting year.”
