As part of the contracted management agreement harlem rbi provides executive management and back office services. The former chairman of dream charter school, richard berlin, is the executive director of harlem rbi. Expenses under this agreement amounted to $5,036,990 during the year ended june 30, 2023.”

“The form 990 is prepared by an independent accountant. The audit/finance committee reviewed and provided edits to the tax preparer. After this process was performed, the form 990 was sent to the full board of directors prior to being filed with the irs. The complete, final 990 was provided to the board prior to filing.”

“The organization's board has adopted a conflict of interest policy that covers all directors, and officers. Under this policy, prior to initial election, appointment or hiring of any director, officer or key employee, and annually thereafter, the secretary shall cause to be distributed to each such person a copy of the policy together with a written disclosure statement. The disclosure statement shall require confirmation that such person has read the policy and agrees to be bound by it, and identify any potential covered arrangements. Each such person shall complete, sign and submit such disclosure statement promptly and shall update his or her disclosure statement as necessary to keep it accurate during the course of the following year. The chair of the audit committee and the board chair will review all potential covered arrangements for determination of whether a conflict exists. The audit committee (or the board in certain circumstances), is responsible for the review and approval of such transactions. Persons with a conflict must refrain from participating in, being physically present during, or attempting to influence, the consideration or determination by the audit committee or board of covered arrangement.”
