Anchorum st. Vincent, a supporting organization to anchorum health foundation, exists to provide financial and strategic support to ensure residents of northern new mexico have access to quality health care and wellness services. Anchorum st. Vincent invests in other local nonprofit programs that benefit the health and wellness of our community.

The organization changed its bylaws by replacing christus st. Vincent regional medical center with anchorum health foundation as the designated supported organization. Also, the board of directors of anchorum st. Vincent is now appointed by anchorum health foundation.

The bylaws were updated in august 2023 to reflect that the board of directors of anchorum health foundation shall appoint the board members for anchorum st. Vincent.

The following items require the written approval from anchorum health foundation: (a) amend, revise or restate the articles of incorporation or the bylaws of the corporation; (b) adopt or change the mission, purposes, philosophy or objectives of the corporation; (c) designate the number of the directors of the corporation; (d) appoint and remove the board of directors and any one or of the directors of the corporation; (e) appoint and remove the chair of the board of directors or make any modifications to the duties and obligations of the chair of the board of directors; (f) amend, revise or restate that certain pledge agreement entered into as of august 31, 2023, between the corporation and the supported organization; (g) approve the purchase, sale, alienation, exchange, lease or encumbrance of any real property of the corporation, which property has value in excess of limits set from time to time by the supported organization; (h) approve debt incurred by the corporation in an amount in excess of limits set from time to time by the supported organization; (i) approve the annual capital and operating budgets for the corporation; (j) approve the strategic plan and annual goals of the corporation; (k) approve the merger, dissolution, consolidation or reorganization of the corporation; (l) approve the sale or other disposition of all or substantially all of the assets of the corporation upon dissolution or otherwise; (m) approve any joint venture or other affiliation involving the corporation; (n) appoint or remove the president and executive director of the corporation or make any modifications to the duties and obligations of the president and executive director of the corporation; (o) approve the financial policies and procedures of the corporation and approve any deviations from such policies and procedures by the corporation; and (p) adopt policies to implement the reserved powers of the supported organization.

VINCENT WAS FORMED IN 2007 IN ANTICIPATION OF CHRISTUS HEALTH ACQUIRING A 50% CORPORATE MEMBERSHIP INTEREST IN ST. VINCENT HOSPITAL IN SANTA FE, NM. WHEN THE ACQUISITION WAS RATIFIED IN APRIL 2008, THE PROCEEDS FROM THE TRANSACTION CREATED THE INITIAL FUNDS FOR ANCHORUM, WHICH WERE TO BE USED TO SUPPORT THE ONGOING MISSION OF ST. VINCENT HOSPITAL AND IMPROVE COMMUNITY HEALTH AND WELL-BEING IN SANTA FE AND NORTHERN NEW MEXICO. THE REMAINING 50% CORPORATE MEMBERSHIP INTEREST IN ST. VINCENT HOSPITAL (RENAMED CHRISTUS ST. VINCENT REGIONAL MEDICAL CENTER) WAS RETAINED BY ANCHORUM ST. VINCENT. IN AUGUST 2023, ANCHORUM ST. VINCENT SIGNED A MEMBERSHIP REORGANIZATION AGREEMENT WITH CHRISTUS HEALTH, WHICH RESULTED IN THE TRANSFER OF ANCHORUM ST. VINCENT'S REMAINING MEMBERSHIP IN CHRISTUS ST. VINCENT REGIONAL MEDICAL CENTER. THIS REORGANIZATION ENDED THE SUPPORTING ORGANIZATION/SUPPORTED ORGANIZATION RELATIONSHIP BETWEEN ANCHORUM ST. VINCENT AND CHRISTUS ST. VINCENT REGIONAL MEDICAL CENTER. ANCHORUM ST. VINCENT THEN ESTABLISHED A SUPPORTING ORGANIZATION/SUPPORTED ORGANIZATION RELATIONSHIP WITH ANCHORUM HEALTH FOUNDATION TO CONTINUE THE MISSION TO IMPROVE COMMUNITY HEALTH AND WELL-BEING IN SANTA FE AND NORTHERN NEW MEXICO. THIS ACTION WAS ACCOMPLISHED BY AMENDING ANCHORUM ST. VINCENT'S BY-LAWS TO ADD ANCHORUM HEALTH FOUNDATION AS ITS SUPPORTED ORGANIZATION AND REMOVING CHRISTUS ST.
