SVHsupport is a locally managed nonprofit organization that partners with Christus Health to provide ongoing financial and strategic support for Christus Saint Vincent Hospital. SVHsupport ensures our community has access to affordable, quality care, health and wellness services through its support for Christus Saint Vincent Hospital. SVHsupport donates and invests in other local nonprofit programs that benefit the health and wellness of our community.

“Svhsupport is a not-for-profit organization described in section 501(c)(3) of the internal revenue code and, accordingly, are exempt from federal and state income taxes. The organization is deemed public charity organization under internal revenue code section 509(a)(2). Svhsupport follows the provisions of financial accounting standards board (fasb) accounting standards codification (asc) 740-10, income taxes. Fasb asc 740-10 provides detailed guidance for the financial statement recognition, measurement, and disclosure of uncertain tax positions in an organization's financial statements. Uncertain income tax positions must meet a more-likely-than-not recognition threshold at the effective date to be recognized upon the adoption of fasb asc 740-10 and in subsequent periods. The provisions of fasb asc 740-10 have been applied to all svhsupport income tax positions commencing from that date. Svhsupport's policy is to classify income tax penalties and interest according to their natural classification in its financial statements. During the years ended june 30, 2015 and 2014, svhsupport incurred no interest or penalties. As of june 30, 2016, management does not believe svhsupport has any uncertain tax positions that would require financial statement recognition, measurement, or disclosure under fasb asc 740-10. Due to statutes of limitation, svhsupport is no longer subject to examinations by tax authorities for years prior to 2013.”

| IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt | 0 | To be "supervised or controlled in connection with" its supporting organization, the control or management of SVHsupport must be vested in the same persons that control or manage its publicly supported organization, St. Vincent Hospital. Treas. Reg. ?? 1.509(a)-4(h)(l). As discussed below, SVHsupport is supervised in connection with St. Vincent Hospital because a majority of SVHsupport's directors must also be individuals who comprise one of the two equal voting classes of the St. Vincent Hospital Board (Hospital Board). It is thus a Type II supporting organization under Code Section 509(a)(3). SVHsupport serves as one of two corporate members of the St. Vincent Hospital Board. The other corporate member is CHRISTUS, a Texas nonprofit corporation recognized as exempt from federal tax under Section 50lc)(3) pursuant to Group Ruling 0928 issued to the United States Conference of Catholic Bishops by virtue of its listing in the Official Catholic Directory. The Hospital Board is thus divided in two classes, each consisting of an equal number of directors: SVHsupport Class and the CHRISTUS Class. SVHsupport Class of the Hospital Board is made up of individuals who reside in the local community. SVHsupport Class appoints its own successors. The CHRISTUS Class is appointed by CHRISTUS. The St. Vincent Hospital Bylaws specify, as one of the qualifications an individual must have to serve in either class of the Hospital Board, a willingness to commit himself or herself to community health and welfare and to devote the necessary time to helping St. Vincent Hospital meet its responsibilities to its patient and its community. In addition, the St Vincent Hospital Bylaws specifically provide that no more than one-third of the members of the Hospital Board members appointed by CHRISTUS may be comprised of employees of CHRISTUS or any of its affiliates. Finally, the act of a majority of the directors in each class of directors, present in person at a meeting at which there is a quorum, is required for the Hospital Board to take action. SVHsupport's bylaws require that a majority of SVHsupport's Board of Directors shall consist at all times of the individuals who comprise SVHsupport Class of the Hospital Board These individuals thus serve as ex officio members of the SVHsupport Board with the right to vote on all matters that come before the SVHsupport Board. As ex officio board members, they hold office until they cease to be members of the SVHsupport Class of the Hospital Board. The same individuals from the Hospital Board who serve as ex officio members of the SVHsupport Board are also in a position to assure the responsiveness of SVHsupport to the mission and charitable purpose of St. Vincent Hospital when SVHsupport is acting as one of the two members of St. Vincent Hospital. Specifically, these individuals are empowered to act on behalf of SVHsupport as a member of St. Vincent Hospital on matters that are reserved for action by the two members of St. Vincent Hospital. These matters include, among others, approval of amendments to the St. Vincent Hospital articles of incorporation and bylaws; approval of any merger, consolidation, dissolution or sale of all or substantially all of the assets of St. Vincent Hospital; approval of the establishment, termination or transfer of any significant St. Vincent Hospital program or service line; approval of any amendments to the St. Vincent Hospital mission, strategic plan, or charity care policy; and approval of various types of financial matters such as certain incurrence of debt and making of loans. THE ORGANIZATION IS DEEMED PUBLIC CHARITY ORGANIZATION UNDER INTERNAL REVENUE CODE SECTION 509(A)(2). SVHSUPPORT FOLLOWS THE PROVISIONS OF FINANCIAL ACCOUNTING STANDARDS BOARD (FASB) ACCOUNTING STANDARDS CODIFICATION (ASC) 740-10, INCOME TAXES. FASB ASC 740-10 PROVIDES DETAILED GUIDANCE FOR THE FINANCIAL STATEMENT RECOGNITION, MEASUREMENT, AND DISCLOSURE OF UNCERTAIN TAX POSITIONS IN AN ORGANIZATION'S FINANCIAL STATEMENTS. UNCERTAIN INCOME TAX POSITIONS MUST MEET A MORE-LIKELY-THAN-NOT RECOGNITION THRESHOLD AT THE EFFECTIVE DATE TO BE RECOGNIZED UPON THE ADOPTION OF FASB ASC 740-10 AND IN SUBSEQUENT PERIODS. THE PROVISIONS OF FASB ASC 740-10 HAVE BEEN APPLIED TO ALL SVHSUPPORT INCOME TAX POSITIONS COMMENCING FROM THAT DATE. SVHSUPPORT'S POLICY IS TO CLASSIFY INCOME TAX PENALTIES AND INTEREST ACCORDING TO THEIR NATURAL CLASSIFICATION IN ITS FINANCIAL STATEMENTS. DURING THE YEARS ENDED JUNE 30, 2015 AND 2014, SVHSUPPORT INCURRED NO INTEREST OR PENALTIES. AS OF JUNE 30, 2016, MANAGEMENT DOES NOT BELIEVE SVHSUPPORT HAS ANY UNCERTAIN TAX POSITIONS THAT WOULD REQUIRE FINANCIAL STATEMENT RECOGNITION, MEASUREMENT, OR DISCLOSURE UNDER FASB ASC 740-10. DUE TO STATUTES OF LIMITATION, SVHSUPPORT IS NO LONGER SUBJECT TO EXAMINATIONS BY TAX AUTHORITIES FOR YEARS PRIOR TO 2013. |
