“Upon completion, a draft copy of form 990 is forwarded in pdf format by the tax preparer to the executive director. The director forwards the return to the board members upon request. Notice is sent to the preparer if any questions or concerns are raised. If so, they are addressed and a revised form 990 is distributed. Once all issues, if any, are resolved a final form 990 is prepared and, upon receipt of a signed efile authorization, electroncially filed. A copy is sent to all states in which the organization has registered.”

“Each board member and employee are required to disclose conflicts of interest prior to affiliation or employment with the organization. Company policy requires disclosure of any circumstances that may arise after the relationship has been established that may be perceived as a conflict. Written or verbal communication to an independent board member or the executive director serves as adequate disclosure. Decisions to terminate the relationship are made on a case by case basis given all relevant information.”

“The filing organization received a grant of $7,490 from Opening Central Africa, a nonprofit organization. Tutu Alicante Leon, the Executive Director of the filing organization, is Treasurer of Opening Central Africa. The grant was awarded to support anti-kleptocracy efforts, consistent with the filing organizations exempt mission. Tutu Alicante Leon did not participate in the decision to award the grant. The filing organization disclosed the relationship in accordance with its conflict of interest policy, and no personal benefit was received by the Executive Director.”

“During the tax year, EG Justice awarded a grant to Comision Ecuatoguineana de Jurista, a nonprofit organization. Tutu Alicante Leon, the Executive Director of EG Justice, is the Board Treasurer of Comision Ecuatoguineana de Jurista. The grant was awarded to support local programming in Equatorial Guinea to further the common mission of EG Justice and Comision Ecuatoguineana de Jurista. This programming includes providing legal services for activists, providing legal services that advocate locally with governments to further democracy, and programming around anti-kleptocracy and anti-corruption efforts. The grant proposal was reviewed and approved by the Board of Directors of the filing organization in accordance with its written conflict of interest policy. Tutu Alicante Leon does not benefit personally from any of this funding, and all funding is allocated to programs with arms length approval. Tutu Alicante Leon disclosed his relationship and recused himself from all discussions and votes related to the grant decision. The board determined that the grant was in the best interest of the organization and furthered its exempt mission.”
