The overall compensation budget is recommended by hr and approved by the ceo and board of directors. Merit increases are recommended by business unit heads, ceo, and the immediate supervisor/manager. The increases are then reviewed by human resources, business unit heads, and board of directors. Once a final decision is made, compensation is approved by human resources, business unit heads, and board of directors. Performance bonuses are recommended by business unit heads, ceo, and the immediate supervisor/manager then reviewed by human resources and the ceo. The ceo gets final approval. Incentive compensation is calculated using a formula driven by incentive compensation plans and annual results. The calculation is reviewed by hr then approved compensation plan, the compensation and benefit committee of the board of directors reviews market data and makes recommendations based on the long and short-term interests of the company and its members. The chair of the board of director's takes the lead on discussing and negotiating compensation with the ceo based on the input from the compensation and benefit committee.”

“LL Global is exempt from federal and state income taxes under Section 501(c)(6) of the Internal Revenue Code. However, LL Global may be subject to federal and state income tax due as a result of unrelated business income. There was no unrelated business income during the years ended December 31, 2021 and 2020. LL Global has no unrecognized tax benefits at December 31, 2021 and 2020. LL Global's and LLG Services' U.S. federal and state income tax and information returns prior to calendar year 2018 are closed and management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings. If LL Global had unrelated business income taxes, it would recognize interest and penalties associated with any tax matters as part of the income tax provision and include accrued interest and penalties with the related tax liability in the consolidated statements of financial position. LL Global has no amounts accrued for interest or penalties as of December 31, 2021 and 2020.”
