Form 990, Part VI

Section b line 13 and 14: the board of directors will be reviewing and approving the whistleblower and document retention and destruction policies, which were developed in 2016. Line 15a: in december 2016, the board of directors will be implementing a process of annual review and approval to determine the ceo's compensation. The board will be provided with an analysis of the compensation for similar positions and similar individuals in the washington, dc area. The board will then meet privately (without the ceo present) to set the ceo's compensation.

The conflict of interest policy was developed and approved by the board of directors in january 2015. Beginning in 2016, all directors, officers, and key employees will be required to disclose annually interests that could give rise to conflicts. Additionally, upon the first knowledge by an interested person that the organization, the board, or a committee is considering or has considered a transaction or arrangement with an entity of individual with which the interested person has an interest, the interested person discloses the existence and nature of his or her interest to the board. After disclosure of the interest and all material facts, the interested person will leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The interested person may not be present for the consideration of or vote on the proposed transaction or arrangement. The board determines whether the corporation can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not produce a conflict of interest, the board or committee shall determine by the affirmative vote of a majority of disinterested directors whether the transaction or arrangement is in the corporation's best interest and for its benefit, and whether it is fair and reasonable, then make its decision on whether to enter into the transaction or arrangement.

Challenges in implementing mobile-based feedback mechanisms with local organizations in challenging contexts. Additionally, simlab co-facilitated a learning event with the uk department for international development and the consortium partners to share findings from the pilots. Simlab also created a website www.feedbackmechanisms.org which hosts all the case studies, best practices and learning from the project. The project has also resulted in speaking engagements both in the us and the uk. Simlab also supported american red cross to identify an appropriate basic phone-oriented offering for their first aid mobile project; built sms-based appointment reminders, client surveys, and an emergency text line for baylegal; and investigated how the dc public library could deliver better information on social services to patrons, and prototyped an open-source tool that allowed librarians to build custom guided interviews.

Upon review by the newly hired financial officer, it was determined that the grants were properly accounted for as temporarily restricted revenue pursuant to sfas 116. This amount represents donations subject to the change in accounting method that are presented on schedule b pursuant to irs notice 96-30 but are properly excluded from 2015 revenue.
