Governance Explanations

Form 990, Part VI, Section A, Line 1A

The Executive Committee shall possess the power and authority of the Board of Directors in the management of the business and affairs of DARCC, to the extent such power and authority are delegated by the board, and except as may otherwise be provided by provisions of law or the bylaws. When the Board of Directors consists of 10 or fewer members, it shall be comprised of the Chair, Vice Chair, and Secretary of the board. When the Board of Directors consists of more than 10 members, it shall also include 2, at-large directors who are nominated and elected by the board.

Form 990, Part VI, Section A, Line 4

The bylaws were modified in 2024 to change the following: 1) add 2 new officer positions, a Chair-Elect and an Immediate Past Chair (though these positions were not filled until 2025); 2) indicate that the term of office for each officer shall be 2 years, with the exception of the Immediate Past Chair whose term shall be 1 year; 3) stipulate that directors may serve up to 3 consecutive terms in office for a maximum of 6 years, after which they shall rotate off the board for a minimum of 1 year, except that the offices of Chair and Immediate Past Chair may be extended beyond 6 years until the conclusion of such terms in office; 4) clarify the operation of the staggered-year election schedule for officer and at-large board positions; and 5) modify the election and installation protocols.

Persons covered - Any director, member of a committee with governing board delegated powers, or any other person who is a "disqualified person" as defined in Section 4958(f)(1) of the Internal Revenue Code and as amplified by Section 53.4958-3 of the IRS Regulations, who has a direct or indirect financial interest.Monitoring proposed or ongoing transactions for conflicts of interest - An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts. Each covered person must annually sign a statement which affirms that such person received a copy of the policy, read and understands it, agrees to comply with it, and understands that the Organization must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic reviews shall be conducted which, at a minimum, consider whether compensation arrangements and benefits are reasonable and whether partnerships, etc. conform to the Organization's written policies, are properly recorded, reflect reasonable investment or payment, further charitable purposes, and do not result in inurement, impermissible private benefit, or an excess benefit transaction.Dealing with potential conflicts of interest and the level at which determinations of whether a conflict exists are made - After disclosure of the financial interest and all material facts and any discussion with the interested person, the interested person shall leave the associated meeting while the remaining board or committee members decide if a conflict of interest exists.Dealing with actual conflicts, the level at which actual conflicts are reviewed, and restrictions imposed on the interested person - An interested person may make apresentation at the governing board or committee meeting but must then leave duringthe discussion of, and the vote on, the transaction or arrangement. The chairpersonof the governing board or committee shall, if appropriate, appoint a disinterestedperson or committee to investigate alternatives to the proposed transaction orarrangement. After exercising due diligence, the governing board or committee shalldetermine whether the Organization can obtain with reasonable efforts a moreadvantageous transaction or arrangement from a person or entity that would not giverise to a conflict of interest. If this is not reasonably possible, the governingboard or committee shall determine by a majority vote of the disinterested directorswhether the transaction or arrangement is in the Organization's best interest, forits own benefit, and fair and reasonable. In conformity with that determination, itshall makes its decision as to whether to enter into the transaction or arrangement.

The CEO's compensation is reviewed on an annual basis following the performance evaluation conducted by the board. Median comparability data for the DFW metroplex is periodically obtained and considered as part of this process--most recently in March 2024.

The compensation for the incoming Director of Finance was determined as part of an agency-wide salary analysis that was conducted by the CEO and COO. The analysis used data from the Texas Council on Family Violence Statewide Family Violence Program Compensation Report most recently obtained in June 2024.

Financial Statement Notes

Part X : FIN48 Footnote

Management has concluded that any tax positions which would not meet the more-likely-than-not criterion of Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) Topic 740-10, Accounting for Income Taxes, would be immaterial to the financial statements taken as a whole. Accordingly, the accompanying financial statements do not include any provision for uncertain tax positions, and no related interest or penalties have been recorded in the operating statement or accrued in the statement of financial position. Federal and state tax returns of the Organization are generally open to examination by the relevant taxing authorities for a period of three years from the date on which the returns are filed.

IRS990/Desc0Counseling - DARCC provides professional, trauma-informed counseling services to those impacted by any form of sexual violence (includes sexual abuse, assault, harassment, stalking, etc.), all at NO COST to the survivors or their loved ones. DARCCs clinical team is made up of licensed, master's-level counselors or interns under the supervision of licensed staff. Counseling services include short- andlong-term individual, couple, family, and group counseling, and all services are guided by trauma-informed principles and techniques. The clinical team focuses on providing care to the whole person using various counseling interventions. These include art therapy, mindfulness, EMDR, Cognitive Processing Therapy, and more. In 2024, DARCCs counseling team continued to offer all services both virtually and in person based on the survivors' preferences and both in English and in Spanish. Language is never a barrier, and interpreters and language translation lines are utilized as necessary. 639 individuals received counseling support during the year. Clinicians provided 3,553 hours of counseling and 661 group sessions.

IRS990/ProgSrvcAccomActy2Grp/Desc0Advocacy - DARCC provides immediate support to those impacted by sexual violence. All advocates, both staff and volunteer, complete a rigorous and comprehensive 40-hour, OAG-approved sexual assault advocate training provided by DARCC on a quarterly basis. These advocates accompany survivors to the hospital to provide support and information during the forensic sexual assault exam at any time of the day or night. They also staff DARCCs 24-hour crisis hotline and stand ready to offer expert crisis intervention, information, and referrals if needed, including referrals to no cost legal services. Advocates further provide clients with ongoing support services such as criminal legal accompaniment, assistance with Crime Victim's Compensation and Texas VINE (Victim Information & Notification Every day), and support finding resources to meet basic needs. In 2024, the advocacy team trained 134 community volunteers who provided 18,067 hours of hotline and hospital advocacy. In total, DARCC advocates accompanied 406 survivors during their forensic exams and supported 1,767 survivors with acute and ongoing advocacy needs. DARCC volunteers and staff responded to 2,085 hotline calls through the 24/7 sexual assault line.

Our comprehensive approach encompasses both in-person and digital programming to raise awareness, foster trauma-informed communities, and cultivate the next generation of advocates. We offer customized training to community partners, including schools, faith groups, and corporations, focusing on the root causes of sexual violence, its impact, and prevention strategies. Our on-demand education platform hosts professional content, including videos, presentation, and learning tools, all accessible to a wide audience. DARCC also leads the DARCC Collectives, a tiered engagement program including DARCC Young Professionals, Allies to Advocates (college students), and The Upstanders (high school students). These groups lead awareness campaigns, volunteer, and participate in leadership development all while amplifying survivor voices and promoting community responsibility in ending sexual violence.
