There is an executive committee made up of the board chair, the vice chair, the treasurer and the executive director.

The form 990 is prepared by an independent public accounting firm using information provided by the organization. Prior to filing, all board members and the executive director are given copies of the 990. The treasurer, a board member, and the executive director review the document for accuracy and present it tot he board for discussion and a vote for approval.

The use of the mn council of nonprofits average nonprofit wage chart was and continues to be used by the board of directors budgeting committee to determine staff and executive salaries. They have aimed for salaries to be in the upper 75% of non profit salaries. While the executive director salary has fallen below this threshold, we have not reassessed since 2020, instead giving annual cost of living increases according to national standards. The process described here was last completed in 2020.

Financial Statement Notes

Part X, Line 2

The organizations activities are generally exempt from federal and state income taxes under section 501(c)(3) of the internal revenue code. Since the organization is exempt from federal and state income tax liability, no provision is made for current or deferred income tax expense. The organization is not a private foundation. Management has determined that the organization is not subject to unrelated business income tax. Management is not aware of any transactions that would impact of the organization's tax-exempt status. The organization follows the guidance of the accounting standard codification (asc) 740, accounting for income taxes, related to uncertainties in income taxes, which prescribes a threshold of more likely than not for recognition and derecognition of positions taken or expected to be taken in a tax return. For the year ended december 31, 2023, management of the organization is not aware of any material uncertain tax positions. All tax-exempt entities are subject to review and audit by federal, state and other applicable agencies, such agencies may review the taxability of unrelated business income, or the qualification of the tax-exempt entity under the internal revenue code and applicable state statutes. For federal tax purposes, the tax returns remain open for possible examination for a period of three years after the respective filing deadlines of those returns.
