“Quality care network has the following process to protect the organization's interest when it is considering entering in to a transaction or arrangement that might benefit the private interest of an officer or director of the organization. An interested person must disclose the existence of his or her financial interest during a scheduled meeting of the governing board. The disclosure must include documentation of all relevant material. The information must be presented to members of the committee with board-delegated powers. After disclosure of the financial interest and all material facts and after any discussion with the interested person, he/she shall leave the board or the committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. A conflict of interest statement is required to be signed each year by the board members and employees. Board conflicts are monitored by the board at board meetings and employee conflicts are monitored by human resources.”

“The governing board uses a salary survey to determine the ceo's level of compensation. The survey contained salary information for similar positions in the same industry by geographic location. The ceo's performance is reviewed by the governing board against goals and expectations determined by the board. The annual increase is determined by performance. Documentation of the board's deliberations is in the minutes. All positions for the organization, including the ceo position, are reviewed and compared to a market compensation analysis. The ceo's review, and all other reviews were performed throughout the year based on their annual review date.”

“A substantial portion of quality care network's ("qcn") revenues were from mercy maricopa integrated care ("mmic"). In fiscal year 2014, mmic indicated that it intended to maintain qcn's funding as a provider network organization ("pno") only through december 31, 2014. Subsequent to december 31, 2014, the pno functions were contracted directly with providers, rather than through qcn. Qcn, however, continued to serve as a direct service provider and provide certain services to eligible children and families. Effective january 1, 2015, qcn contracted with mmic to provide direct care and high needs case management specialty services. During july 2015, qcn received notice from mmic that they would discontinue funding of hncm services after the contract end-date of september 30, 2015.”
