First, the president, treasurer and financial controller conducted an in-depth review of an electronic version of the draft form 990 as prepared by the cpas. A second draft form 990 was then reviewed by the legal counsel. After incorporating additional changes, the final version of the form 990 was sent via email to all members of the board of directors for their review prior to filing the tax return with the irs.

The conflict of interest policy is furnished annually to senior staff and directors and new individuals are provided with a copy of this policy upon joining the board of directors or senior staff. All directors sign annual disclosure statements acknowledging their understanding of the policy and disclosing if they have any business or personal relationships that would create a conflict of interest with third way institute.

Third way institute has adopted the accounting for uncertainty in income taxes, as required by the income taxes topic of the fasb asc. Third way institute has analyzed their tax positions, and have concluded that no liability for unrecognized tax benefits should be recorded related to any uncertain tax positions taken on returns filed for open tax years (2010-2012), or expected to be taken in its 2013 tax return. Third way institute is not aware of any tax positions for which it believes that there is a reasonable possibility that the total amounts of unrecognized tax benefits will change materially in the next twelve months.
