“Membership in the organization consists of associations, coalitions, businesses and other entities committed to preserving competition in the independent alternative repair parts industry. There are two classes of membership: regular and associate members. Regular members are individuals or entities who are involved in the use or sale of alternative repair parts for automobiles and/or pay dues directly to the organization. Associate members are individuals or entities who wish to participate in promoting the mission of the organization but who do not otherwise qualify for regular membership.”

“Regular members have the right to appoint one or more individuals to serve on the board of directors based upon an incremental annual dues formula. Regular members have the right to vote in elections and on such matters as the board of directors may determine. Associate members have no voting rights.”

“The organization's counsel, treasurer and executive director review the information return in advance of filing.”

“Board members are annually required to complete conflict of interest disclosure statements. Board members are recused from voting on any matter that pertains to their or their company's own benefit.”

“The executive director is employed by the outside professional management company. The outside professional management company is compensated pursuant to an annual renewable contract negotiated by the board of directors.”

“The organization's governing documents, policies and financial statements are available to the public upon written request sent to the address of record of the organization.”
