The annual audited financial statements which are approved by the board of directors are used to prepare the Form 990. The Form 990 is provided to the board of directors for review and approval. Once the Form 990 has been approved the return is filed with the IRS electronically.

Form 990, Part VI, Section B, line 12C

Article I: Purpose The purpose of the Animas High School Conflict of Interest Policy is to observe state statutes regarding financial and non-financial conflicts of interest related to those who serve on the Board of Director's and those who do business with the Organization. This policy will serve as a guide for the Animas High School Board of Director's in order to avoid conflict of interest or the appearance of impropriety. This policy is intended to supplement, but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Article II: Definitions 1. Interested Person Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial Interest A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement, b. A compensation arrangement with the Organization or with any entity or individual with which the Organization has a transaction or arrangement, or c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Organization is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists. 3. Nepotism a. Nepotism is favoritism in the workplace based on kinship, which ordinarily consists of making business decisions based on a family relationship. b. Relative: the spouse, domestic partner, anyone in a romantic relationship and, whether by blood, adoption, marriage or domestic partnership, the child, parent, grandparent, sibling, grandchild, aunt or uncle, niece or nephew, or any person residing in the immediate household (or the household of the spouse or domestic partner of any of these relatives) of the Organizations employee, or his or her spouse or domestic partner, or person in a romantic relationship. c. Being a relative, as defined in Article II, 4, b does constitute a conflict of interest and does preclude the relative from serving as a board member for the organization in order to avoid the potential for nepotism or the perception of nepotism. d. Relatives of current employees of the Organization are not precluded from serving on board committees. e. Prospective board members must disclose all relationships as defined under Article II, 4, b, which exist when the prospective board member application is submitted. f. A serving board member must disclose all relationships as defined under Article II, 4, b, which develop during their term. Article III: Procedures 1.Duty to Disclose a. In connection with any actual or possible financial conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. b. In connection with any actual or possible nepotistic conflict of interest, a person muct disclose the existence of relationships, as defined in Article II, 4, b and be give the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the relationship and how it related to the Organizations best interest, integrity, and public perception. 2. Determining Whether a Conflict of Interest Exists After disclosure of the conflict and all material fact

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Article I: Purpose The purpose of the Animas High School Conflict of Interest Policy is to observe state statutes regarding financial and non-financial conflicts of interest related to those who serve on the Board of Director's and those who do business with the Organization. This policy will serve as a guide for the Animas High School Board of Director's in order to avoid conflict of interest or the appearance of impropriety. This policy is intended to supplement, but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Article II: Definitions 1. Interested Person Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial Interest A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement, b. A compensation arrangement with the Organization or with any entity or individual with which the Organization has a transaction or arrangement, or c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Organization is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. Under Article III, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists. 3. Nepotism a. Nepotism is favoritism in the workplace based on kinship, which ordinarily consists of making business decisions based on a family relationship. b. Relative: the spouse, domestic partner, anyone in a romantic relationship and, whether by blood, adoption, marriage or domestic partnership, the child, parent, grandparent, sibling, grandchild, aunt or uncle, niece or nephew, or any person residing in the immediate household (or the household of the spouse or domestic partner of any of these relatives) of the Organizations employee, or his or her spouse or domestic partner, or person in a romantic relationship. c. Being a relative, as defined in Article II, 4, b does constitute a conflict of interest and does preclude the relative from serving as a board member for the organization in order to avoid the potential for nepotism or the perception of nepotism. d. Relatives of current employees of the Organization are not precluded from serving on board committees. e. Prospective board members must disclose all relationships as defined under Article II, 4, b, which exist when the prospective board member application is submitted. f. A serving board member must disclose all relationships as defined under Article II, 4, b, which develop during their term. Article III: Procedures 1.Duty to Disclose a. In connection with any actual or possible financial conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. b. In connection with any actual or possible nepotistic conflict of interest, a person muct disclose the existence of relationships, as defined in Article II, 4, b and be give the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the relationship and how it related to the Organizations best interest, integrity, and public perception. 2.
