“The council has an executive committee consisting of the board chairman, the president, the general counsel, the secretary/treasurer, all vice chairmen and seven other directors as appointed by the chairman and president, at the end of the annual board meeting. The executive committee is responsible, between board meetings, for policy making, strategy, and day-to-day oversight of the council's affairs, including the selection and oversight of professional service providers. The executive committee keeps the full board fully informed of its activities.”

“Classification of members: the membership of the association shall be divided into at least five (5) classifications as follows: shipper members, consisting of persons or business entities which ship or receive commodities by vessel on the waterways of the united states; carrier members, consisting of persons, firms or corporations engaged in operating one or more vessels on the inland waterways of the united states; waterway service members, consisting of terminal operators, shipyards, shipbuilders, salvage, construction and dredging firms and other persons, firms or corporations engaged in furnishing equipment, services or supplies in connection with navigation; association, government, port and waterways beneficiary members, consisting of regional development or improvement associations or trade associations, governmental entities, labor organizations, or other organizations, persons, firms, or corporations, including without limitation, states, cities, towns, levee districts, port authorities, labor organizations and chambers of commerce, not belonging to any other classification of membership. There shall be the classification of associate member which shall apply to individuals and other organizations that wish to be part of the association and support its mission and purposes but who are unable or choose not to pay the minimum dues applicable to the above-listed membership classifications; provided, however, that any such member that desires to become an associate member shall submit such request to the president who shall then submit such request to the board of directors or executive committee for consideration of approval. The board of directors, by unanimous vote of the board of directors then present, or represented at such meeting, at any legal meeting of the board may confer honorary membership on any individual or organization for efforts of such individual or organization in furtherance of the purposes of the association.”

“Each member, other than associate and honorary members, shall have one vote.”

“Our auditors, cst group, will do an internal review of the form 990. The director - finance and the president and ceo will also review the form 990 in detail before it is filed.”

“As administered by the awo secretary, each director will be asked to complete a certification of agreement with the policy and disclosure of any known conflicts of interest upon his or her election or re-election to the board and annually thereafter.”

“The compensation committee establishes the salary recommendations for the ceo and officers of wci. The executive committee or the board of directors vote on the recommendations of the compensation committee. The annual merit and bonus awards, if any, are approved by the executive committee in executive session and the december meeting of the executive committee. The board of directors approves the overall budget for merit raises and bonus awards, but the actual amount of the award is fixed by the executive committee. The compensation committee utilizes comparability data and the minutes reflect the action of the executive committee and board of directors.”

“The governing documents, conflict of interest policy and financial statements are available to the public upon request.”

“American waterways operators, inc. (awo), is the common paymaster for waterways council, inc. (wci). Therefore, all w-2's for wci are issued under the awo employer identification number.”
