Mission

Saint agatha foundation, through its grantmaking activities, is dedicated to providing support, comfort and care for those afflicted with breast cancer primarily in central new york state.

The mission of the saint agatha foundation is to provide support, comfort and care for those afflicted with breast cancer primarily in central new york state which is in furtherance of the mission of national philanthropic trust (npt). The saint agatha foundation is a supporting organization to npt, an independent, nationally-recognized public charity with a mission to increase philanthropy in society.

Saint agatha foundation and npt are parties to a management agreement that defines certain administrative, finance and management services that npt provides to saint agatha foundation.

Class a directors are chosen annually by npt. Class b directors are chosen annually by kathleen mezzalingua, or a committee designated by her. At all times, the number of class a directors must be one more than the number of class b directors.

Form 990 is completed by an independent contracted tax firm with assistance from npt's finance department and legal counsel. Once a working draft is complete, it is reviewed by npt's senior management team and provided to the audit and risk committee of npt's board of trustees and to saint agatha foundation's board of directors for review prior to filing with the internal revenue service. The final return is then made available to the board of directors of the saint agatha foundation and to npt's board of trustees prior to filing with the internal revenue service.. Npt's treasurer approves the final return and its filing.

On an annual basis, a conflict of interest questionnaire and a copy of saint agatha foundation's conflict of interest policy is provided to all directors and officers. They must review the conflict of interest policy and respond to the appropriate questions on the questionnaire, then sign and return it. In accordance with the policy, directors and officers are required to disclose conflicts and may not participate in decisions with respect to which they have a conflict. Saint agatha foundation's definition of "conflict of interest" is available by request.

The financial results of saint agatha foundation are reported in the consolidated financial statements of npt. The audit and risk committee of npt's board of trustees reviews and approves npt's audited financial statements with members of npt management and npt's independent auditors prior to issuance.

Financial Statement Notes

PART X, LINE 2:

National philanthropic trust and affiliates (organizations") are generally exempt from federal income taxes under the provisions of section 501(c)(3) of the code. In addition, the organizations qualify for charitable contribution deductions and have been classified as organizations that are not private foundations. The organizations follow the accounting guidance on accounting for uncertainty in income taxes (financial accounting standards board (fasb) accounting standards codification (asc) topic 740-10), which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded on the consolidated financial statements. Under this guidance, the organizations may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by a tax authority. The tax benefits recognized in the consolidated financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated the organizations' tax positions and concluded that the organizations have taken no material uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. Consequently, no accrual for interest and penalties was deemed necessary for the years ended june 30, 2024 or 2023. The organizations file informational tax returns in u.s. And uk jurisdictions. With few exceptions, the organizations are no longer subject to income tax examinations by the u.s. Federal, state or local tax authorities for fiscal years ended june 30, 2021, or earlier. The organizations are also subject to income taxes on net income that is derived from a trade or business, regularly carried on, and not in furtherance of the purposes for which it was granted exemption. The organizations' aggregate obligation for unrelated business income tax for the years ended june 30, 2024 and 2023, is approximately $436,000 and $1,690,000, respectively. The organizations file u.s., uk and state income tax returns in jurisdictions, as applicable, to report such income.

IN ADDITION, THE ORGANIZATIONS QUALIFY FOR CHARITABLE CONTRIBUTION DEDUCTIONS AND HAVE BEEN CLASSIFIED AS ORGANIZATIONS THAT ARE NOT PRIVATE FOUNDATIONS. THE ORGANIZATIONS FOLLOW THE ACCOUNTING GUIDANCE ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES (FINANCIAL ACCOUNTING STANDARDS BOARD (FASB) ACCOUNTING STANDARDS CODIFICATION (ASC) TOPIC 740-10), WHICH ADDRESSES THE DETERMINATION OF WHETHER TAX BENEFITS CLAIMED OR EXPECTED TO BE CLAIMED ON A TAX RETURN SHOULD BE RECORDED ON THE CONSOLIDATED FINANCIAL STATEMENTS. UNDER THIS GUIDANCE, THE ORGANIZATIONS MAY RECOGNIZE THE TAX BENEFIT FROM AN UNCERTAIN TAX POSITION ONLY IF IT IS MORE LIKELY THAN NOT THAT THE TAX POSITION WILL BE SUSTAINED ON EXAMINATION BY A TAX AUTHORITY. THE TAX BENEFITS RECOGNIZED IN THE CONSOLIDATED FINANCIAL STATEMENTS FROM SUCH A POSITION ARE MEASURED BASED ON THE LARGEST BENEFIT THAT HAS A GREATER THAN 50 PERCENT LIKELIHOOD OF BEING REALIZED UPON ULTIMATE SETTLEMENT. THE GUIDANCE ON ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES ALSO ADDRESSES DE-RECOGNITION, CLASSIFICATION, INTEREST AND PENALTIES ON INCOME TAXES, AND ACCOUNTING IN INTERIM PERIODS. MANAGEMENT EVALUATED THE ORGANIZATIONS' TAX POSITIONS AND CONCLUDED THAT THE ORGANIZATIONS HAVE TAKEN NO MATERIAL UNCERTAIN TAX POSITIONS THAT REQUIRE ADJUSTMENT TO THE FINANCIAL STATEMENTS TO COMPLY WITH THE PROVISIONS OF THIS GUIDANCE. CONSEQUENTLY, NO ACCRUAL FOR INTEREST AND PENALTIES WAS DEEMED NECESSARY FOR THE YEARS ENDED JUNE 30, 2024 OR 2023. THE ORGANIZATIONS FILE INFORMATIONAL TAX RETURNS IN U.S. AND UK JURISDICTIONS. WITH FEW EXCEPTIONS, THE ORGANIZATIONS ARE NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS BY THE U.S. FEDERAL, STATE OR LOCAL TAX AUTHORITIES FOR FISCAL YEARS ENDED JUNE 30, 2021, OR EARLIER. THE ORGANIZATIONS ARE ALSO SUBJECT TO INCOME TAXES ON NET INCOME THAT IS DERIVED FROM A TRADE OR BUSINESS, REGULARLY CARRIED ON, AND NOT IN FURTHERANCE OF THE PURPOSES FOR WHICH IT WAS GRANTED EXEMPTION.
