The clo ambassadors shall be entitled to designate one (1) of their members to be an ex-officio, voting member of the board of directors.”

A draft of the form 990 was reviewed and approved by the audit committee and then sent to the executive committee for final approval. A complete copy of the form 990 will be provided to each board member via a secure web portal prior to filing with the service.”

“Annual conflict of interest disclosure forms are completed by board members and reviewed by senior staff. Completed conflict of interest forms are collected and provided to the executive committee. An interested person must disclose the existence of the financial interest to the directors and members of committees with board delegated powers, who will then determine, after the interested person has recused him/herself and departed from the board or committee meeting, whether a conflict of interest exists.”

Decisions regarding compensation for the officers and key employees are made independently of those officers and/or key employees. The human resources committee reviews compensation and submits their recommendations to the board's budget and finance committee for their review and approval. The budget and finance committee reviews the proposed compensation package and forwards their recommendation to the executive committee for their approval.”
