Mission

Wesley spectrum services foundation ("foundation") is a 501(c)(3) charitable organization and has been further classified as a type i supporting organization engaging in fund-raising, research and other charitable activities on behalf of wesley spectrum services (wss). Wesley spectrum services provides autism, education, behavioral health and family support services. The foundation provides facility services, professional staff development, and management support services to and oversees capital projects for wesley spectrum services.

Wesley spectrum services elects the board of wesley spectrum services foundation. In addition, the bylaws of the foundation provide that the chief executive officer of wesley spectrum services shall serve, by designation, as a voting director of wesley spectrum services foundation.

Other than with respect to the initial directors and chief executive officer of wesley spectrum services, who shall sit on the board by designation, on or before june of each and every year, directors shall be appointed by the board of directors of wesley spectrum services to fill the class of directors of the corporation whose terms will end on june 30 of such year. Each director so appointed, shall take office on the first day of july after appointment by the wesley spectrum services board.

FORM 990, PART XII, QUESTION 2, OVERSIGHT OF FINANCIAL STATEMENT AUDIT:

The joint finance committe (jfc) of the board of directors assumes the responsibility for oversight of the audit of the organization's financial statements and selection of the independent accountant. This is done through communication, including meetings and phone calls, between the jfc, the independent accountant, and/or management with respect to management's performance as well as review and approval of the presentation of the audited financial statements. This process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

The foundation's endowment consists of various investment funds established primarily for support of the foundation's mission. Its endowment includes donor-restricted endowment funds. As required by generally accepted accounting principles, net assets associated with endowment funds, including funds designated by the foundation to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions. The trustees of the foundation have elected to be governed by the commonwealth of pennsylvania's act 141 (act 141). Act 141 is a total return policy that allows a nonprofit to choose to treat a percentage of the average market value of the endowment's permanently restricted investments as income each year. However, the long-term preservation of the real value of the assets must be taken into consideration when the board elects the amount. On an annual basis, the executive committee of the board, in writing, must elect a spending rate of between 2% and 7%. In accordance with act 141, the foundation annually transfers 5% of the previous three years' market value average of the endowment fund. This percentage is applied to a three-year average market value of the investments at june 30th of the previous year. The foundation classifies as permanently restricted net assets the original and subsequent value of gifts donated to the permanent endowment. In accordance with act 141, the foundation has adopted a written investment policy, of which a section specifically relates to the endowment fund. The foundation considers the following factors in making a determination to set a spending rate: 1. Protecting the corpus of the endowment fund. 2. Preserving the spending power of the assets. 3. Obtaining maximum investment return with reasonable risk & operational consideration. 4. Complying with applicable laws.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the foundation and recognize a tax liability (or asset) if the foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the irs. Management has analyzed the tax positions taken by the foundation, and has concluded that as of june 30, 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes that the foundation is no longer subject to income tax examinations for tax years prior to 2014.

WE WERE ABLE TO PROVIDE PERSON-CENTERED CARE TO OVER 5,200 INDIVIDUALS AND FAMILIES. OUR TRANSFORMATION SUPPORT SERVICES WERE PROVIDED TO INDIVIDUALS RANGING IN AGE FROM INFANCY TO 81 YEARS, WITH YOUTH COMPRISING 56% OF OUR SERVICE RECIPIENTS. THIRTY-TWO PERCENT OF PROGRAM PARTICIPANTS SELF-IDENTIFIED AS RACIAL OR ETHNIC MINORITIES. OF PARENTS WHO PARTICIPATED IN AGENCY SATISFACTION SURVEYS, 96% SAID THEY WOULD MAINTAIN SERVICES WITH WESLEY SPECTRUM, EVEN IF OTHER OPTIONS WERE AVAILABLE. OF THOSE PARENTS WHO PROVIDED FEEDBACK TO PROGRAMS BEFORE DISCHARGING FROM SERVICE, 97% SAID THEY WOULD RECOMMEND THE PROGRAM. IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FOUNDATION'S ENDOWMENT CONSISTS OF VARIOUS INVESTMENT FUNDS ESTABLISHED PRIMARILY FOR SUPPORT OF THE FOUNDATION'S MISSION. ITS ENDOWMENT INCLUDES DONOR-RESTRICTED ENDOWMENT FUNDS. AS REQUIRED BY GENERALLY ACCEPTED ACCOUNTING PRINCIPLES, NET ASSETS ASSOCIATED WITH ENDOWMENT FUNDS, INCLUDING FUNDS DESIGNATED BY THE FOUNDATION TO FUNCTION AS ENDOWMENTS, ARE CLASSIFIED AND REPORTED BASED ON THE EXISTENCE OR ABSENCE OF DONOR-IMPOSED RESTRICTIONS. THE TRUSTEES OF THE FOUNDATION HAVE ELECTED TO BE GOVERNED BY THE COMMONWEALTH OF PENNSYLVANIA'S ACT 141 (ACT 141). ACT 141 IS A TOTAL RETURN POLICY THAT ALLOWS A NONPROFIT TO CHOOSE TO TREAT A PERCENTAGE OF THE AVERAGE MARKET VALUE OF THE ENDOWMENT'S PERMANENTLY RESTRICTED INVESTMENTS AS INCOME EACH YEAR. HOWEVER, THE LONG-TERM PRESERVATION OF THE REAL VALUE OF THE ASSETS MUST BE TAKEN INTO CONSIDERATION WHEN THE BOARD ELECTS THE AMOUNT. ON AN ANNUAL BASIS, THE EXECUTIVE COMMITTEE OF THE BOARD, IN WRITING, MUST ELECT A SPENDING RATE OF BETWEEN 2% AND 7%. IN ACCORDANCE WITH ACT 141, THE FOUNDATION ANNUALLY TRANSFERS 5% OF THE PREVIOUS THREE YEARS' MARKET VALUE AVERAGE OF THE ENDOWMENT FUND. THIS PERCENTAGE IS APPLIED TO A THREE-YEAR AVERAGE MARKET VALUE OF THE INVESTMENTS AT JUNE 30TH OF THE PREVIOUS YEAR. THE FOUNDATION CLASSIFIES AS PERMANENTLY RESTRICTED NET ASSETS THE ORIGINAL AND SUBSEQUENT VALUE OF GIFTS DONATED TO THE PERMANENT ENDOWMENT. IN ACCORDANCE WITH ACT 141, THE FOUNDATION HAS ADOPTED A WRITTEN INVESTMENT POLICY, OF WHICH A SECTION SPECIFICALLY RELATES TO THE ENDOWMENT FUND. THE FOUNDATION CONSIDERS THE FOLLOWING FACTORS IN MAKING A DETERMINATION TO SET A SPENDING RATE: 1. PROTECTING THE CORPUS OF THE ENDOWMENT FUND. 2. PRESERVING THE SPENDING POWER OF THE ASSETS. 3. OBTAINING MAXIMUM INVESTMENT RETURN WITH REASONABLE RISK & OPERATIONAL CONSIDERATION. 4. COMPLYING WITH APPLICABLE LAWS.

MANAGEMENT HAS ANALYZED THE TAX POSITIONS TAKEN BY THE FOUNDATION, AND HAS CONCLUDED THAT AS OF JUNE 30, 2017, THERE ARE NO UNCERTAIN POSITIONS TAKEN OR EXPECTED TO BE TAKEN THAT WOULD REQUIRE RECOGNITION OF A LIABILITY (OR ASSET) OR DISCLOSURE IN THE FINANCIAL STATEMENTS. THE FOUNDATION IS SUBJECT TO ROUTINE AUDITS BY TAXING JURISDICTIONS; HOWEVER, THERE ARE CURRENTLY NO AUDITS FOR ANY TAX PERIODS IN PROGRESS. MANAGEMENT BELIEVES THAT THE FOUNDATION IS NO LONGER SUBJECT TO INCOME TAX EXAMINATIONS FOR TAX YEARS PRIOR TO 2014.
