Governance Explanations

Form 990, Page 6, Part VI, Line 3

Cornerstone insurance services, inc., a full service association management company, was used to plan and execute budgets and manage financial operations. It is wholly owned and operated by tracy mccormick, executive director.

Form 990, Page 6, Part VI, Line 6

Article iv, section 1, provides that the corporation shall have one class of members, hereinafter referred to as corporate members. Licensed retail electric or gas suppliers who support the principles and position of the corporation are eligible to apply for membership in the related caucus(es). Corporate membership shall be applied for, in writing, on forms prescribed by the executive director at the direction of the board. Membership applications will be evaluated by the board based on the applicant's consistency with the values and interest of the corporation. Corporate membership shall become effective upon an affirmative vote of a two-thirds (2/3) majority of the directors and tender of payment of the annual dues.

The organization uses data provided by the american society of association executives (asae) to determine compensation to be paid to the executive director and the director of operations. The board approves the compensation and this is documented in the board minutes. This compensation is paid as a management fee to a company that is 100% owned by the executive director.
