To attract students to the material handling, logistics, and supply chain industry by providing financial support.

The material handling education foundation, inc. Is an independent charitable organization dedicated to promote the study of material handling, logistics, and supply chain, by exposing students and educators to the industry through financial support.established in 1976, the foundation has provided funds through private and corporate donations to students, teachers, and their institutions. All programs and activities of the foundation contribute to the development of future industry leaders, teachers and researchers.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization made the following changes to its bylaws: section 4.01. Authority. The business and affairs of the corporation shall be managed by the board of directors, except as it may delegate to the executive committee and to the investment committee of the board of directors ("executive committee" and "investment committee") as established hereinafter in article viii, section 8.01 and section 8.03. Section 8.01. Executive committee. There shall be an executive committee which shall consist of six (6) members of the board of directors and shall include the president, vice president, executive director and the last retiring president while they occupy those offices; the remaining two (2) members shall be appointed by the president to serve during his or her term. If a member of the executive committee (except for the last retiring president) shall resign or become ineligible to serve, the president shall appoint a successor for the balance of the term on the executive committee. The last retiring president shall not be replaced in these circumstances. The executive committee shall have all powers, and may exercise the authority, of the board of directors between meetings of the board except that it will not have: the authority of the grant committee pursuant to section 6.02 and 6.03 hereof; the power to select or remove directors or to fill vacancies on the board of directors; the power to adopt, amend or repeal of the bylaws; and the powers relating to matters committed by the bylaws or by resolution of the board of directors to another committee. All actions of the executive committee shall be subject to ratification by the board of directors at its next meeting. Regardless of whether actions of the executive committee are in fact ratified, such action shall be valid and binding on the corporation in the case of any person who has relied to its detriment upon such executive committee action. The executive committee shall meet at such times and at such places as the board of directors or the executive committee determines or at the call of its chair. A quorum for the transaction of business shall consist of four (4) members of the executive committee and any action at a meeting upon any matter shall be taken and be valid only with the affirmative vote of at least four (4) members present at a meeting duly convened. Section 8.03. Investment committee. There shall be an investment committee which shall consist of the president, who shall serve as chair, the executive director, the treasurer and the last retiring president, all of whom shall serve on the committee so long as they hold their designated officer positions, and three (3) additional directors who shall be appointed by the president. The committee's responsibilities shall include the authority to formulate, to review and to recommend an investment policy to be approved by the board of directors, to review such policy from time to time and to recommend revisions to the board of directors when appropriate, to review and to report on the investment of the foundation's funds, to work with the foundation's approved corporate trustee at any time, to make recommendations on investment policies, guidelines, parameters, and investments to the board of directors or in the event of an emergency or special situation to the executive committee and to direct the executive director and/or treasurer or any person designated by him, her or them in writing on making investments or investment changes including changes within the investment guidelines and parameters to the corporate trustee. The committee shall meet at least annually, and meetings of the investment committee may be called at any time by the board of directors or the president to be held at such place, day and hour as shall be specified by the person calling the meeting or, if not so specified, by the executive director. Financial Statement Notes

PART V, LINE 4:

The foundation's endowment funds are intended to provide as follows: (1) a scholarship grant(s) designated as the "irving m. Footlik p.e. Memorial scholarship" to educational institutions providing material handling education curriculum for students pursuing studies in material handling (2) professional development grants to assist awardees to participate in seminars, meetings, site visits and other events related to material handling discipline of automatic data collection

PART X, LINE 2:

The foundation is exempt from federal and state income taxes on income related to its tax exempt purpose under section 501(c)(3) of the internal revenue code (the "code") and applicable state statutes. The foundation is liable for federal and state taxes on any unrelated business income, as defined in the code. The foundation follows financial accounting standards board ("fasb") guidance on accounting for uncertainty in income taxes. The foundation's policy is to record a liability for any tax position taken that is beneficial to the foundation, including any related interest and penalties, when it is more likely than not the position taken by management with respect to a transaction or class of transactions will be overturned by a taxing authority upon examination. Management believes there are no such positions as of december 31, 2014 and, accordingly, no liability has been accrued. Income tax returns filed prior to the year ended december 31, 2011, are no longer subject to review by the tax authorities.
