The form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. The form is reviewed by the ceo and and is made available to the board prior to filing.

Form 990, Part VI, Section B, Line 12C

A conflict of interest exists when a board member is involved in other activities, of either a personal or business nature, which may be detrimental to the best interest of the organization or personal financial gain. Such member(s) shall abstain from voting on the issue concerned. Conflicts of interest are evaluated annually at the employee and board level. Board members and employees are to list any and all relationships that may be a conflict. The policy is monitored and enforced by the ceo and the board.

Form 990, Part VI, Section B, Line 15A

During the budget process, the board of directors reviews all of the employees' wages and salaries. The nachc salary and benefit guideline is used to assist the board in establishing the ceo's salary. Statistical values are used to ensure executive compensation is within fair market value for the industry. These are approved by the board through the approval of the organization's budget and documented in the executive session minutes.
