Mission

Founded in 1924 and conveniently located on two adjacent north hills campuses, vincentian home is a member of vincentian collaborative system, a catholic health and human services organization headquartered in the north hills of pittsburgh coordinating the work of four long term care facilities - vincentian home, vincentian regency, vincentian de marillac and marian manor - two child development centers, a rehabilitation company, as well as the vincentian collaborative system charitable foundation.in the catholic tradition and following in the footsteps of st. Vincent de paul and st. Louise de marillac, vincentian home provides a full range of quality programs - that are compassionate, comprehensive, affordable, dignified, and strongly spiritual in nature. We are sponsored by the sisters of charity of nazareth (formerly the vincentian sisters of charity) whose tradition and charism guides our work.

Compelled by the love of christ, vincentian home nurtures and sustains a ministry of compassionate care that preserves the human dignity of persons within a diverse and changing society.

The bylaws of the organization were revised and adopted by the vcs board of directors on january 13, 2014. The predominate focus of these revisions was to streamline the board membership and related structures. Copies of the specific changes to the bylaws are available upon request.

The members of the organization are "those persons who serve from time to time as the directors of vincentian collaborative system, a pennsylvania nonprofit corporation ("vcs")" as such, the directors of vcs shall be entitled to all rights and powers of the member under pennsylvania law and these bylaws of the organization.

Vincentian home maintains bylaws which provide that the members of the organization, described as "those persons who serve from time to time as the directors of vincentian collaborative system, a pennsylvania nonprofit corporation ("vcs")" have reserved powers over the organization. Those reserved powers are as follows: 1. Approval of the statement of philosophy of the organization; 2. Approval of the statement of mission and goals of the organization; 3. Adoption, amendment or repeal of the articles of incorporation and bylaws of the organization; 4. Election and removal of directors, the chairperson of the board of directors; 5. Approval of the appointment of the administrator; 6. Approval of the following transactions by the organization: a. Incurrence of long-term debt; b. Purchase, sale, lease, disposition, encumbrance, or other transfer of any interest in or to any real or personal property; c. Dontation of assets or other transfer of assets for less than their fair market value to entities not owned, sponsored, or controlled by the organization d. Spending policies of the organization; 7. Approval of participation, investment,involvement or ownership in new ventures or entities, including the investment of money or other consideration or participation as a stockholder, member of otherwise in corporations, partnerships, joint ventures, associations or other nonprofit or business organizations or entities by the organization; 8. Approval of passive investments for inclusion in the investment porfolios, such as private equity funds, by the oranization in excess of 10% of the value of the net assets of the oragnization. 9. Approval of the merger, consolidation, dissolution or liquidation of the organization, and the establishment, merger, consolidation, dissoluation, or liquidation of any affiliates; 10. Ratification of the strategic plan of the organization; 11. Ratification of the operating and capital budgets of the organization.

Form 990, Part VI, Section B, Line 11

The audit and compliance committee of the parent organization, vincentian collaborative system (vcs), reviewed the 990 prior to filing, as did the administrator of vincentian home and the vcs chief financial officer and chief executive officer. A completed copy was provided to all board members prior to filing with the internal revenue service.

A copy of the conflict of interest policy is provided to each director and officer along with a disclosure statement. Each director or officer is required to complete and return the disclosure statements in a timely manner. The corporate compliance officer reviews the disclosure statements for potential conflicts. Reported potential conflicts are reviewed with the chairperson of the board of directors, the administrator and legal counsel. Additional investigation is completed by either the board chairperson or the corporate compliance officer at the direction of the board chairperson. Potential conflicts are then reviewed with the parent organization, vincentian collaborative system (vcs), audit & compliance committee which is a committee of the vcs board of directors. Potential conflicts are then reviewed by the vincentian home board of directors outside of the presence of the director or officer involved.

The purpose of the compensation and benefits committee of the board of directors of vincentian collaborative system (vcs) is to oversee executive compensation and benefits plans for the organizations president/ceo, and to establish and oversee compensation practices, ranges and benefit plans for all of the organization (including senior management). The annual process to evaluate and set compensation includes: - a review of the current compensation for the president/ceo - a review of any new legislation that may have an affect on such compensation.(such information is presented by experienced external experts) - a review and evaluation of appropriate competitive market information and any other such information that the committee deems appropriate. - the establishment of the compensation package (salary, incentive(s) and benefits) for president/ceo - the establishment of compensation practices, including external references for ranges, and benefits for the organization (including senior management) - the recommendation of the president/ceo's compensation package as well as the practices for management to set the rest of the organizations compensation and benefits is made to the executive committee of the board of directors of vcs for consideration. The executive committee shall take this information into consideration, along with other factors including budgetary considerations and individual performance, in determining and approving the recromendation of the committee.

Our primary concern is to create a family-like setting - a loving, caring atmosphere - that promotes the physical, spiritual, psychological, and social well-being of each person in our care.

Form 990, Part X

During the year ended june 30, 2014, the organization recorded a change in accounting principle related to its (ccrc) entrance fees. Effective for fiscal periods beginning after december 15, 2012, u.s. Gaap changed to require organizations to record the portion of ccrc entrance fees that are refundable upon reoccupancy by a subsequent resident, but not limited to the proceeds of reoccupancy, as a liability. Previously, both refundable and nonrefundable entrance fees were recorded as deferred revenue by the organization and amortized to revenue. Nonrefundable entrance fees continue to be recorded as deferred revenue. The organization adopted this change in accounting principle retrospectively by restating beginning net assets as of july 1, 2012 by $397,154. In addition, deferred revenue previously reported as of june 30, 2013 of $6,219,463 was restated to $519,824 and a liability for refundable entrance fees of $6,341,000 was recorded. Operating revenues were restated and decreased by $244,207 for the year ended june 30, 2013.

Financial Statement Notes

PART X, LINE 2:

The system, the homes, vincentian collaborative system rehabilitation services, the center, and the foundation are not-for-profit organizations as described in section 501(c)(3) of the internal revenue code and are exempt from federal income taxes on their exempt income under section 501(a) of the internal revenue code. The organization follows the provisions of the income taxes topic of the fasb accounting standards codification that pertains to accounting for uncertainty in income taxes. These provisions clarify the accounting for uncertainty in income taxes recognized in an organization's financial statements and prescribe a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate tax authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. These provisions also provide guidance on de-recognition, classification, interest and penalties, and disclosure. Management has determined that these provisions do not have a material effect on the consolidated financial statements. The organization's federal returns of organization exempt from income tax are subject to possible examination by the taxing authorities until the expiration of the related statutes of limitations on those returns, which is generally three years.

WE PROVIDE SKILLED AND INTERMEDIATE NURSING CARE, SHORT TERM REHABILITATION, PERSONAL CARE, AND ALZHEIMER'S/DEMENTIA CARE IN THE TRADITION OF ST. VINCENT DE PAUL AND ST. LOUISE DE MARILLAC. VINCENTIAN'S NEWEST COMMUNITY, MEMORY LANE AT VINCENTIAN PERSONAL CARE, IS AN INNOVATIVE NEW APPROACH TO ALZHEIMER'S AND DEMENTIA CARE. DESIGNED TO IMMERSE RESIDENTS IN A FAMILIAR SETTING THAT EVOKES MEMORIES OF EARLY ADULTHOOD, THIS 10-ROOM COMMUNITY IS AT THE FORFRONT OF MEMORY CARE. AT VINCENTIAN HOME, PRIVATE AND SEMI-PRIVATE ROOMS ARE AVAILABLE. REHABILITATION SERVICES INCLUDE PHYSICAL THERAPY, OCCUPATIONAL THERAPY AND SPEECH THERAPY. HEALTH SERVICES INCLUDE MEDICAL AND PSYCHIATRIC SERVICES, DENTAL, PODIATRY AND OPTHALMOLOGY SERVICES, PHARMACY, LABORATORY, X-RAY AND EKG SERVICES, IV THERAPY AND OXYGEN THERAPY, OSTOMY CARE AND HOSPICE. PASTORAL CARE AND FAMILY SUPPORT SERVICES ARE AVAILABLE TO ALL RESIDENTS AS WELL AS A BUSY ACTIVITY CALENDAR AND A SMALL BEAUTY/BARBER SHOP. CATHOLIC AND INTER-DENOMINATIONAL SERVICES TAKE PLACE REGULARLY IN THE LOVELY CHAPEL.OUR MINISTRY IS CARRIED OUT BY 462 EMPLOYEES WHOSE WORK IS COMPLEMENTED AND EXTENDED BY A DEDICATED CORPS OF 334 VOLUNTEERS. WE SUSTAIN MULTIPLE COMMUNITY PARTNERSHIPS THAT ENSURE OUR PROGRAMS SERVE TO ENRICH THE LIVES OF ALL WHO ARE ENTRUSTED IN OUR CARE.SERVING PERSONS OF ALL RELIGIOUS BACKGROUNDS AND INCOME LEVELS (53.55% OF RESIDENTS RECEIVE MEDICAID), VINCENTIAN HOME PROVIDED MORE THAN $4.22 MILLION IN BENEVOLENT CARE DURING FY 2014.
