“A copy of Form 990 is provided to all members of the Board of Trustees and management before it is filed. The Audit Subcommittee of the Board of Trustees is delegated the responsibility of review of the Form 990 before it is filed. The University's independent audit firm (Baker Tilly US, LLP) also reviews the form.”
“Gannon has two conflict of interest policies; one for members of the Board of Trustees and one for employees. Each Board Member is required to complete a conflict of interest form at the September Board meeting. These are gathered by the President's Office. The Risk management coordinator analyzes the disclosures made with the assistance of the Controller and Vice President for Finance and Campus Operations and prepares a summary of any relationships disclosed. Family and business relationships are stated in the policy as sources of potential conflicts. All employees are required to sign a conflict of interest form upon hire. If any relationships are disclosed a copy of the form is sent to be analyzed by the risk management coordinator. Key employees are required to complete and update the form annually. In May of each year, the list of key employees is analyzed and updated as necessary by the risk management coordinator with the assistance of the Vice President for Finance and Campus Operations. In December of each year, the forms are sent to the individuals identified as key employees. The completed forms are then analyzed by the risk management coordinator, Controller and Vice President for Finance and Campus Operations and a summary is prepared of any relationships disclosed. Both summaries are then presented to the Audit Subcommittee of the Board of trustees at the February meeting. If Board of Trustees members report a relationship conflict they would recuse themselves from decisions related to those transactions.”
“The Evaluation/Executive Compensation Committee of the Board of Trustees meet regularly to consider compensation packages of the President and Vice president and to approve any changes to current written employment contracts. The Committee reviews the compensation surveys, comparable industry compensation data, and 990's from comparable institutions. “The University accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurements of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold at June 30, 2023 and 2022. At June 30, 2023, the University had net operating loss carryforwards resulting from its unrelated business activities which may be applied against future years' taxable income. A valuation allowance has been recorded to offset the resulting deferred tax asset due to the uncertainty of the future use of these net operating losses. The University's policy is to recognize interest related to unrecognized interest related to unrecognized tax benefits in interest expense and penalties in operating expenses”
