The Bishop of the Roman Catholic Diocese of Erie has the sole and exclusive power and authority to approve nominations to the Board of Trustees, and to the offices of the Vice Chairperson and Secretary.

Form 990, Part VI, Section A, Line 7B

The Bishop of the Roman Catholic Diocese of Erie has the sole and exclusive power and authority to: Establish the mission and philosophy according to which the University operates. The doctrinal and moral holdings of the Catholic faith as enunciated by the teaching office of the Church, the Magisterium, are the philosophy by which the mission of the University as well as of its Catholic identity shall be preserved; Amend the corporate Charter and Bylaws; Approve nominations to the Board of Trustees, and to the offices of the Vice Chairperson and Secretary; Lease or sell corporate assets in excess of $100,000 or encumber corporate assets with liens of more than $100,000; Merge or dissolve the corporation.

Form 990, Part VI, Section B, Line 11B

A copy of Form 990 is provided to all members of the Board of Trustees before it is filed. The Audit Subcommittee of the Board of Trustees is delegated the responsibility of review of the Form 990 before it is filed. The University's independent audit firm (Baker Tilly US, LLC) also reviews the form.

Form 990, Part VI, Section B, Line 12C

Gannon has two conflict of interest policies; one for members of the Board of Trustees and one for employees. Each Board member is required to complete a conflict of interest form at the September Board meeting. These are gathered by the President's Office with copies sent to the Internal Auditor. The Internal Auditor analyzes the disclosures made with the assistance of the Controller and Vice President for Planning and Finance and prepares a summary of any relationships disclosed. All employees are required to sign a conflict of interest form upon hire. If any relationships are disclosed a copy of the form is sent to and analyzed by the Internal Auditor. Key employees are required to complete and update the form annually. In May of each year, the list of key employees is analyzed and updated as necessary by the Internal Auditor with the assistance of the Vice President for Planning and Finance. In December of each year, the forms are sent to the individuals identified as key employees. The completed forms are then analyzed by the Internal Auditor, Controller and Vice President for Planning and Finance and a summary is prepared of any relationships disclosed. Both summaries are then presented to the Audit Subcommittee of the Board of Trustees at the February meeting.

Form 990, Part VI, Section B, Line 15

The Evaluation/Executive Compensation of the Board of Trustees meet regularly to consider the compensation packages of the President and Vice Presidents and to approve any changes to current written employment contracts. The Committee reviews the compensation surveys, comparable industry compensation data, and 990's from comparable institutions. As it relates to the President, the Committee engages an independent compensation consultant. Minutes are kept for Committee meetings.

Financial Statement Notes

Schedule D, Part III, Line 1

The University follows a policy of not recording or capitalizing its collections of works of art, historical treasures, and similar assets.

Schedule D, Part III, Line 4

Nash Library maintains the Gannon University archives which seeks to collect and preserve selected documents and artifacts related to the history of the University, particularly the achievements of the University's faculty, students, and staff, as well as its relationship to the Catholic Diocese of Erie and the greater Erie community.

The University endowment funds are invested over the longer time horizons to earn a return that supports programs of the University as directed by donors. The endowment funds primarily support student scholarships, along with faculty research and development and other academic programs.

The University accounts for uncertainties in income taxes in accordance with authoritative guidance, which prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. Management determined there were no tax uncertainties that met the recognition threshold at June 30, 2020 and 2019. At June 30, 2020, the University had net operating loss carryforwards resulting from its unrelated business activities which may be applied against future years' taxable income. A valuation allowance has been recorded to offset the resulting deferred tax asset due to the uncertainty of the future use of these net operating losses. The University's policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses.
