Supplemental Narrative

Additional Explanations

Describe the Process Used by Management &/or Governing Body to Review 990

FORM 990, PART VI, LINE 11b: The Form 990 is reviewed by the Executive Director and is presented at the Board of Trustees meeting for review before filing. The audited financial statements are used in preparing the return. Any questions are reviewed and answered. The Executive Director may need to discuss a question with the accountant preparing the Form 990 if unable to answer the question herself.

Monitor & Enforce Compliance With the Written Conflict of Interest Policy

FORM 990, part vi, line 12C: There is a written conflict of interest policy which is reviewed with all DBF (DALLAS BAR FOUNDATION) board members at the first board meeting each year. Signed statements are obtained from board members indicating there is no conflict of interest in their role as a trustee.

compensation review and approval process

Form 990, part Vi, lines 15a: The process for determining the executive director's compensation includes review and approval by the executive committee (all independent persons). The committee reviews the executive director's performance outcomes, comparability data, and current financial statements. This process is completed at the end of each year at a meeting of the executive committee. Results are reported at the next board meeting.

public disclosure

form 990, part vi, line 19: GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS ARE AVAILABLE FOR REVIEW upon REQUEST.

Financial Statement Notes

part XI, line 2D:

fundraising expenses: $102,101

part XII, line 2D:

fundraising expenses: $102,101

Uncertain Tax Positions under ASC 450

Schedule D, Part X, line 2: The Foundation evaluates its uncertain tax positions using the provisions of ASC 450, contingencies. Accordingly, a loss contingency is recognized when it is probable that a liability has been incurred as of the date of the financial statements and the amount of the loss can be reasonably estimated. the amount recognized is subject to estimate and management judgment with respect to the likely outcome of each uncertain tax position. The amount that is ultimately sustained for an individual uncertain tax position or for all uncertain tax positions in the aggregate could differ from the amount recognized. In consideration of these factors, for the year ended December, 31, 2013, the Foundation has no material net unrelated business income. Accordingly, no provision for income taxes has been provided in the accompanying financial statements. The foundation is not recognized as a private foundation. The Foundation's Form 990, Return of Organization Exempt from income tax, for the year end 2013, 2012, 2011 are subject to examination by the internal Revenue Service (IRS), generally for three years after they were filed.
