Governance Explanations

Form 990, Part VI, Section B, Line 11

Before it is submitted to the irs, form 990 will be reviewed by the finance committee of the board at either a regularly scheduled meeting or a specially called meeting. The review will be conducted by jeffrey shireman, ceo and douglas garrett, cfo. The review usually consists of line by line assessment and discussion of all relevant sections and line items. The entire board then receives a copy of the final 990 before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

Conflict of interest statements, required annually of governing body members and key employees, are reviewed by the chief financial officer. Governing body members and key employees are expected to divulge any potential conflict of interest they might have in a given transaction, notify the decision-makers invloved in that transaction, and remove themselves from any decision-making role in the transaction. Determination of conflicts on the level of the governing body will be made by the governing body. Determination of conflicts on the level of key employee will be determined by the ceo, or if the ceo is involved in the conflict, through an anonymous hotline to the corporate compliance officer, who has direct reporting access to the governing body.

Form 990, Part VI, Section B, Line 15

The board adopted a ceo evaluation tool in 2012 that was completed individually by all board members. The collected results were considered by the board executive committee, and a review of the results was planned to involve the ceo and representatives of the executive committee. Executive compensation adjustments for those three positions in 2012 and 2013 followed the standard across-the-board increase percentages applied to all employee wages. The leadingage pa annual wage survey is used for determining comparable salaries for the executive management team. The salaries of similiar positions located in the central pennsylvania region are used as a fair value comparison.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy and financial statements are available upon request. Additionally, audited financial statements are available with the annual disclosure statement required by the pennsylvania department of insurance, also available upon request by any member of the public. The disclosure statement is also made available to all current lvbh community residents in the community center reading room, and to all incoming residential living residents as they are moving into the community. Finally, financial statements are made available from time to time at quarterly financial roundtable meetings open to any resident of the lvbh community.

Financial Statement Notes

PART V, LINE 4:

The endowment fund exists to advance the mission of lvbh, now and into the future, by providing financial support for purposes such as, but not limited to: (a) covering the cost of charitable care provided to residents who do not have personal funds sufficient to pay for the services they receive; (b) purchasing capital equipment required to meet the service needs of lvbh's residents; and (3) funding any new or special projects approved by the board of directors.

PART X, LINE 2:

Lvbh accounts for uncertainty in income taxes by using a recognition threshold of more likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold is met. Management determined that there were no tax uncertainties that met the recognition threshold in 2013 and 2012. The federal exempt organization business income tax returns for lvbh for the years ended december 31, 2012, 2011, and 2010 remain subject to examination by the internal revenue service.

IRS990/Desc0NURSING CARE - IN 2013, THE LEBANON VALLEY BRETHREN HOME'S LICENSED NURSING CENTER MAINTAINED ITS "5-STAR" RATING BY THE FEDERAL CENTER FOR MEDICARE AND MEDICAID SERVICES (CMS); THIS IS THE HIGHEST QUALITY RATING THAT IS OBTAINABLE UNDER THE FEDERAL SYSTEM. AS A RESULT, LVBH AGAIN MADE THE LIST OF TOP NURSING HOMES IN THE USA AS PUBLISHED IN US NEWS AND WORLD REPORT. THE NURSING CARE COMPONENT OF THE LEBANON VALLEY BRETHREN HOME (LVBH) CONTINUES AT A CAPACITY OF 100 LICENSED BEDS, DIVIDED AMONG THREE (3) PROGRAMMATIC COMPONENTS: 40 NURSING BEDS LOCATED IN THE FOUR, 10-BED GREEN HOUSES HOMES; 20 BEDS IN THE TRANQUIL TERRACE MEMORY IMPAIRMENT UNIT; AND THE REMAINING 40 BEDS IN THE TRADITIONAL LEFFLER CARE NURSING UNIT. THE GREEN HOUSE HOMES REMAIN AS ONE OF THE MOST INNOVATIVE AND HIGHEST QUALITY NURSING SETTINGS IN THE COMMONWEALTH OF PENNSYLVANIA. THE LEFFLER CARE UNIT CONTINUED TO EXPERIENCE AN INCREASING DEMAND FOR CARE OF INDIVIDUALS WHO WILL RECEIVE INTENSIVE REHABILITATION FOR 6-12 WEEKS BEFORE ULTIMATELY RETURNING HOME. ANOTHER DEVELOPING TREND IS AN INCREASE IN ADMISSIONS FOR RESIDENTS WHO ARE ACUTELY AND/OR TERMINALLY ILL, AND WHO ARE NEEDING EITHER HOSPICE OR PALLIATIVE CARE. THE 20-BED TRANQUIL TERRACE WAS FULL FOR MUCH OF THE YEAR, SERVING RESIDENTS WITH DEMENTIA DIAGNOSES THROUGHOUT THE FULL SPECTRUM OF THEIR DISEASE PROCESS. IN 2013, TRANQUIL TERRACE BENEFITTED FROM A COMPLETE RENOVATION OF ITS BATHING AREA, INCLUDING A NEW STATE-OF-THE-ART WHIRLPOOL TUB, AND ALSO A REPLACEMENT OF THE CORRIDOR CARPETING AND RESURFACING OF ALL CORRIDOR WALLS. THE ANNUAL INSPECTION OF THE NURSING CENTER (BY THE PA DEPARTMENT OF HEALTH) WENT VERY WELL IN 2013, WITH ONLY THREE AREAS REQUIRING CORRECTION, ALL OF THEM LOW IN SCOPE AND SEVERITY. IN DECEMBER OF 2013, THE NURSING CENTER WELCOMED A NEW LEADER IN VP OF HEALTH SERVICES MIKE MAHAN. AS IN PREVIOUS YEARS, THE PERCENTAGE OF RESIDENTS IN NURSING WHO REQUIRED SUBSIDY FROM THE ORGANIZATION WAS IN THE RANGE OF 35-40%. PERSONAL CARE - IN THE PERSONAL CARE UNIT, THE 2013 ANNUAL INSPECTION BY THE DEPARTMENT OF PUBLIC WELFARE WENT VERY WELL, AND RESULTED IN ONLY A FEW MINOR DEFICIENCIES WHICH WERE IMMEDIATELY CORRECTED. NO SIGNIFICANT ISSUES OR PROBLEMS WERE RAISED BY RESIDENTS AT THE QUARTERLY RESIDENT COUNCIL MEETINGS. DESPITE THE ADMISSION OF SEVERAL RESIDENTS FROM OUR INDEPENDENT LIVING COMMUNITY, THE PERSONAL CARE UNIT OCCUPANCY CONTINUES TO HOVER AROUND 23-25 RESIDENTS, WHICH IS ABOUT 50% OF ITS MAXIMUM CAPACITY. MANAGEMENT IS IN DISCUSSION WITH THE BOARD OF DIRECTORS ABOUT ADDING A HOME-BASED PERSONAL CARE PROGRAM. INDEPENDENT LIVING - THE INDEPENDENT LIVING COMMUNITY OF LVBH WAS ABLE TO GROW THROUGHOUT THE YEAR AS PROSPECTS REACTED FAVORABLY TO OUR PRICING, AMENITIES AND SOLID REPUTATION FOR CARE. IMPROVEMENTS IN THE LOCAL AND NATIONAL ECONOMIES WERE EVIDENCED BY THE HIGHEST NUMBER OF UNIT SALES (OVER 35) SINCE THE RECESSION BEGAN IN 2008. INDEPENDENT LIVING OCCUPANCY RATES CLIMBED TO ABOUT 98%, AND APARTMENT OCCUPANCY IS 100% RESERVED/OCCUPIED. THE ORGANIZATION INVESTED SIGNIFICANTLY IN CAPITAL IMPROVEMENTS FOR INDEPENDENT LIVING INCLUDING A NEW HVAC SYSTEM FOR THE INDOOR POOL, A COMPLETE RENOVATION OF THE WORSHIP CENTER AND FELLOWSHIP HALL, AND NEW CARPETING AND WALL SURFACES FOR THE CORRIDORS AND COMMON SPACES OF THE COMMUNITY CENTER. VOLUNTEERISM AMONG LVBH RESIDENTS STAYED AT VERY HIGH LEVELS, AND THE RESIDENT-ORGANIZED 2013 ANNUAL YARD SALE SET A NEW HIGH-WATER RECORD, RAISING IN EXCESS OF $46,000 ALL OF WHICH WAS DONATED BACK TO THE COMMUNITY.
