“All officers and directors are required to annually execute an annual statement that provides that such officer and director has read the conflict of interest policy, and that such officer and director will comply with all requirements of the conflict of interest policy. Article iii, section 1, of the conflict of interest policy requires that any interested person (defined in the conflict of interest policy) must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. By signing the annual statement, all officers and directors of the organization agree to comply with article iii, section 1. The organization uses the execution of the annual statement to monitor and enforce compliance with the organization's conflict of interest policy. Whenever the organization's board of directors reviews and analyzes proposed projects or agreements, the board of directors refers to the conflict of interest policy to determine if there would be any potential conflicts that may arise by entering into such proposed project or agreement.”

“Upon advance written request to the organization, the organization will make the organization's governing documents, conflict of interest policy, and/or financial statements available to such party making the advance written request. Any party who desires to review the organization's governing documents, conflict of interest policy, and/or financial statements must review such documents at the organization's offices during normal business hours.”
