“Charles dudley is the general counsel of the association. As of july 1, 2024 he was designated by the board to manage the day to day operations of the association. He is contracted through his entity charles dudley, p.a. To perform these general counsel/management responsibilities.”

“Membership to the association is composed of system members. System members are engaged in the business of providing television reception, broadband, or service for the public by authorized cable systems in the state of florida.”

“With the advice and consent of the board of directors, the chairman shall designate the committees, appoint the members of all committees, and designate the chairman of all committees.”

“The executive committee shall meet at the call of the chairman and conduct the business of the association and act on the matters in the interval between meetings of the board of directors. The committee shall keep minutes of all meetings and a record of all actions taken and report to the board of directors on such an action as soon as practival. The minutes and reports shall be reviewed and presented for ratification at the next ensuing meeting of the board of directors.”

“Form 990 and accompanying schedules are prepared by an independent accounting firm. The form 990 and accompanying schedules are reviewed and approved by the executive audit committee/finance committee. Any discrepancies are resolved with the independent accounting firm prior to filing with the internal revenue service.”

“Upon employment, each employee signs a code of ethics which includes a conflict of interest clause. However, the president has a separate conflict of interest policy that must be reviewed annually.”

“The organization goes through annual meetings to set the budget for all employees' compensation except for the president, who is currently under a contract. There is a yearly review of the president's accomplishments set out for him by the strategic plan that he is then compensated for by the board executive committee according to the parameters laid out in his employment contract.”

“The association makes its governing documents and three most recent years of financial statements and form 990s available to the public upon request.”
