“Form 990 and required schedules are prepared by an independent cpa firm and reviewed by chamber music northwest's finance director and executive director. After any revisions or corrections have been made, the forms are given to the board treasurer and the board finance committee for review. When all have approved the forms, the executive director signs the 990. The return is then distributed to the entire board of directors. The form 990 and schedules are then filed with the irs.”

“Each year, every board member, executive officer and any member of a committee with board delegated powers must sign a conflict of interest statement. Periodic reviews are conducted throughout the year to ensure compliance. Should a conflict of interest be disclosed or discovered, the interested person is given the opportunity to disclose all material facts to board members. After disclosure of the financial interest and all material facts and after any discussion with the interested person, the remaining board members or committee members, in the absence of the interested person, decide whether a conflict of interest exists. After exercising due diligence, the board members or committee determine by a majority vote of the disinterested board members whether the arrangement is in cmnw's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, the board makes its decision as to whether to enter into the arrangement.”

“In developing the executive director's employment contract and compensation, the board executive committee obtains research and information to make a recommendation to the full board for the compensation (salary and benefits) of the executive director based on a review of comparability data. This may include salary and benefit compensation studies by independent sources, comparable compensation from other leading nonprofits in the region and documented research about similar positions at both nonprofit and for-profit organizations. To approve the compensation for the executive director the board documents how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. The president of the board of directors, who is a volunteer and not compensated by cmnw, operates independently without undue influence from the executive director. No member of the executive committee will be a staff member, the relative of a staff memeber, or have any relationship with staff that could present a conflict of interest.”
