Governance Explanations

Form 990, Part VI, Section A, Line 4

Somo's by-laws were amended to add wording that an immediate past chair may serve an additional one year on the board of directors.

Form 990, Part VI, Section B, Line 11

A copy of the 990 will be provided to all board members, for review, at their may board meeting. They will be given a chance to ask questions at the actual board meeting prior to filing.

Form 990, Part VI, Section B, Line 12C

At the first board meeting of the year, board members are provided a copy of the conflict of interest policy. They are to read it, make disclosures if necessary and sign it. Disclosures of any conflict are also made orally at the meeting. Signed copies of the policy are maintained at somo headquarters.

Form 990, Part VI, Section B, Line 15

Compensation of the ceo is based upon average peer data from a national special olympics ceo salary survey. This national study is done bi-annually to determine the average compensation of other ceos. The ceo then shares with the somo executive committee, who presents to the full board for approval of ceo compensation. The ceo is rated annually by the executive committee. All staff have an annual performance expectation review. At the end of the year, they are graded on their yearly performance goals by their supervisor. A rating of "below expectations" may result in no raise, while an "above expectations" may earn a raise, depending on the somo salary administration plan. The board of directors approves the overall salary pool for all staff annually, and said pool is used to fund the salary administration plan accordingly. During 2014, the ceo received a longevity award of $920.00, per the staff longevity policy.

Form 990, Part VI, Section C, Line 18

The form 990 is available on special olympics' website.

Form 990, Part VI, Section C, Line 19

Governing documents and the conflict of interest policy are available to the public upon request at somo headquarters. The annual audited financial statements are available on special olympics' website.
