“The board chairman reviews the complete form 990 and related schedules prior to filing the return with the irs. A copy of form 990 and related schedules (filed with the irs and date stamped for filing date) is provided to each board member prior to filing of the return. The treasurer reviews the filed documents with the board members and answers any questions they may have. Board members are reminded of their fiduciary responsibilities as board members.”

“Compensation details for similar organizations is examined to help determine the appropriate compensation. The board of dirctors is then responsible for voting and approving the compensation amount for the officers.”

“The governing documents are required to be attached to the annual bingo license application which is filed with the state of ohio. The by-laws of the organization are written to preclude conflict of interest issues under most circumstances although these sections are not specifically titled "conflict of interest". In situations, where it might be possible for a conflict of interest to occur (such as discussions of compensation of employees who are also board members, or discussion of the rent to be paid to the executive director for the office use of an area of his home) the board member(s)/employee(s) are excused (absented) from the discussions and the remaining board members discuss the issues. Outside information is used so that salary determinations and rental values are based on responsibilities, time commitment, comparable market values (for similar position or office space). The board members act in a responsible manner to avoid compensation that would be considered excessive and always act in a manner which is intended to protect the organization's exempt status. Copies of governing documents, financial statements (including filings with the irs), and audit reports are made available to any party (public or private) who requests the information. In fact, we have voluntarily provided written copies of these documents and filings to other individuals and organizations who were seeking information about the types of filings/documents required of not-for-profit organizations. We are a leader in winter guard activity (both on a competitive basis and on an organizational administrative basis) and we strive to help others in the activity strengthen their financial reporting systems and organizational controls.”
