Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization's by-laws were amended during the fiscal year. The changes make the bylaws simpler and shorter. Changes include: clarified the gubernational appointments clause, reduced the number of official committees, removed the sunshine language, sharpened the description of board member responsibilities, clarified the removal of directors section, and simplified the board emertius status.

Form 990, Part VI, Section B, Line 11B

The finance committee reviews the form 990 with the accountant. Once that is complete and approved to be sent to the full board, a copy of the 990 form is e-mailed to the entire board for their review previous to the board meeting. The 990 form is approved by the full board for submission to the irs at a board meeting or through an e-mail vote.

Form 990, Part VI, Section B, Line 12C

All board members and staff are required to read a conflict of interest policy and sign a form stating they will comply. For board members this is done on an annual basis.

Form 990, Part VI, Section B, Line 15

Compensation is compared to other humanities councils and positions within those organizations based off an annual survey provided by the federation of state humanities councils.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
