Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee consists of the president, the vice president, secretary, treasurer and the aats director of industry relations and shall have all the powers of the board of directors in the management of the business and affairs of the foundation when the board of directors is not in session.

Form 990, Part VI, Section A, Line 4

Section 3.2 number: the number of directors shall be no more than nineteen (prior version was fourteen). Section 3.9 manner of acting: removed the words "in person" as many meetings are now virtual. Section 4.2 appointment, terms of office and qualifications increased to five (5) consecutive two-year terms (used to say three (3)) section 6.1 executive committee now includes the aats director of industry relations.

Materials to complete the form 990 are provided by the finance team. These materials are used for the professional services firm to complete the form 990. Once completed, the form 990 is reviewed by the finance team, the cfo, ceo and treasurer before filing. The form 990 is shared with the finance committee and board via email once ready to file.

Form 990, Part VI, Section B, Line 12C

Annually, all members of the board of directors are requested to complete a conflict of interest disclosure form, which is kept on file and reviewed by the board if any conflict is indicated. The conflict of interest policy is monitored through board meetings where all members review policies. The board president and ceo monitor these tasks. If a conflict arises during the year, the board member shall immediately notify the president of the board, who will determine appropriate resolution. The board of directors shall be responsible for making all decisions concerning resolutions of conflicts.
